AGREEMENT TO OUR LEGAL TERMS

These Terms of Service (“Legal Terms”) constitute a legally binding agreement between you (“you”, “user”) and Whalesbook Private Limited (“Company”, “we”, “us”, “our”), regarding your access to and use of:

• The Whalesbook website (www.whalesbook.com)
• The Whalesbook mobile application (“App”)
• Any other digital properties or services linking to these Legal Terms

Collectively referred to as the “Services.”

Nature of Platform:

Whalesbook primarily operates as a:

• Digital news publishing and distribution platform.
• Instant news alert broadcasting service.
• Provider of structured, interactive broadcast-style discussions related to news topics.

Whalesbook is NOT a social networking or social media platform.

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Legal Terms. If you do not agree with all of these Legal Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.

We may update these Legal Terms at any time. The updated version will be indicated by a revised “Effective Date” at the top of this page. Continued use of the Services means you accept the updated Terms.

The Services are intended solely for users who are 18 years of age or older.

1. OUR SERVICES

Whalesbook provides a suite of digital news and broadcasting services, including:

1.1 E-Newspaper

Publication and distribution of daily, weekly, and monthly digital news editions covering business, markets, finance, economy, corporate announcements, and global developments.

1.2 Instant News Alerts (Primary Service)

Broadcasting urgent or time-sensitive news alerts via WhatsApp, Push notifications, SMS, Email, and other telecommunication channels. Alerts include developments such as corporate announcements, regulatory updates, financial results, orders, deals, and other market-moving information.

1.3 Interactive Broadcast Discussions (Structured & Limited)

Whalesbook may offer optional broadcast-style interactive sessions where:

• Users may join sessions hosted by experts or approved moderators.
• Users may ask questions or discuss news topics only.
• Interaction is structured and controlled.

Note: Whalesbook does not provide or operate a social network, community platform, or public posting feed. Any interactive elements are strictly tied to news broadcasting.

2. INTELLECTUAL PROPERTY RIGHTS

All content on the Services—including news articles, e-newspapers, alerts, graphics, layouts, audio/video broadcasts, code, and software—is owned by Whalesbook or licensed to Whalesbook.

You may:

• Access and read content.
• Download or print news content solely for personal, non-commercial use.

You may NOT:

• Copy, modify, sell, distribute, or sublicense our content.
• Reshare subscription-based content (e.g., PDF e-newspapers, premium WhatsApp alerts) on public forums or groups.
• Use Whalesbook trademarks or logos without prior written permission.

All rights not expressly granted to you are reserved by Whalesbook Private Limited.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

• You are at least 18 years old.
• All registration information you submit is true, accurate, and current.
• You will not use the Services for any illegal or unauthorized purpose.
• You acknowledge that Whalesbook provides news and information only, not financial advice.
• You will not access the Services through automated or non-human means (e.g., bots, scripts, or scrapers).

4. USER REGISTRATION

You may be required to register to access premium news content or receive alerts. You agree to:

• Keep your password and login credentials confidential.
• Provide an active, valid WhatsApp number to receive alerts.
• Be responsible for all use of your account and password.

We reserve the right to remove, reclaim, or change a username or terminate an account if we determine, in our sole discretion, that such action is appropriate or if you violate these Terms.

5. SUBSCRIPTIONS & PAYMENTS

Certain Services (such as Premium Alerts or E-Papers) require paid subscriptions.

• Billing: Subscriptions renew automatically until cancelled. Your payment method will be charged on a recurring basis (monthly/yearly) as per the plan selected.
• Cancellation: You may cancel your subscription at any time via your account settings. Cancellations will take effect at the end of the current paid term. We do not provide partial refunds.
• Price Changes: We reserve the right to modify prices at any time. You will be notified in advance of any price changes affecting your subscription.

6. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. You agree NOT to:

• Systematically retrieve data or other content from the Services to create a collection, compilation, database, or directory (Data Scraping).
• Share subscription-only content publicly or with non-subscribers.
• Attempt to bypass, disable, or otherwise interfere with security-related features of the Services.
• Post illegal, abusive, defamatory, or misleading content during broadcast interactions.
• Use the platform to provide investment advice to others.
• Engage in market manipulation or promote financial scams/schemes.
• Impersonate Whalesbook staff or another user.
• Upload or transmit viruses, Trojan horses, or other harmful material.

Whalesbook reserves the right to suspend or terminate users violating these rules immediately.

7. USER CONTRIBUTIONS (News Discussions)

Whalesbook may allow users to engage in structured discussions only within interactive broadcast sessions or limited comment areas. You may not use these features as a general social network.

By posting content, you guarantee that:

• You own or have the necessary rights to the content.
• Your contributions do not infringe on any third-party rights.
• Your content does not constitute financial advice.
• Your content complies with all applicable laws and Whalesbook policies.

License You Grant Us:

By posting contributions, you grant Whalesbook a worldwide, non-exclusive, royalty-free, perpetual license to use, store, reproduce, display, or distribute your contributions for the purpose of operating and promoting the Service.

8. MOBILE APPLICATION LICENSE

If you access the Services via the Whalesbook App, we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the mobile application on wireless electronic devices owned or controlled by you, and to access and use the mobile application on such devices strictly in accordance with the terms and conditions of this mobile application license.

You shall not:

• Decompile, reverse engineer, disassemble, or attempt to derive the source code of the App.
• Modify, translate, or create derivative works of the App.
• Use the App for any revenue-generating endeavor or commercial enterprise.

9. SOCIAL MEDIA INTEGRATION

You may be able to link your account with third-party service providers (like Google or Facebook). By doing so, you grant us access to the information you have provided to those third parties, consistent with your privacy settings on those services.

10. THIRD-PARTY CONTENT

The Services may contain links to third-party websites or content. Whalesbook creates news based on data from third parties (BSE/NSE/Regulatory Bodies).

• We are not responsible for the accuracy or completeness of third-party content.
• We are not liable for any loss or damage caused by your reliance on third-party content.

11. ADVERTISING

We may allow advertisers to display their advertisements and other information in certain areas of the Services.

• Advertisers are solely responsible for the content of their ads and any services they offer.
• Whalesbook does not endorse or guarantee any product advertised on the platform.

12. SERVICE MANAGEMENT

We reserve the right, but not the obligation, to:

• Monitor the Services for violations of these Legal Terms.
• Take appropriate legal action against anyone who violates the law or these Legal Terms.
• Refuse, restrict access to, limit the availability of, or disable any of your contributions or account.
• Manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

14. TERM & TERMINATION

We reserve the right to suspend or terminate your account at any time, without warning, for any reason, including but not limited to a breach of these Legal Terms. If we terminate your account, you are prohibited from registering a new account under your name or a fake name.

15. MODIFICATIONS & INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors.

We are not liable for any loss caused by delays in news alerts, e-newspaper delivery, or broadcast availability.

16. GOVERNING LAW

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of Delhi, India, without regard to its conflict of law principles.

17. DISPUTE RESOLUTION

Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the state and federal courts located in Delhi, India, and the parties hereby consent to the exclusive jurisdiction of such courts.

18. DISCLAIMERS (CRITICAL)

News & Broadcasting Disclaimer

Whalesbook is a news aggregator and publisher. While we strive for accuracy, we do not guarantee the completeness, timeliness, or accuracy of the news. Information is often sourced from exchanges and regulatory filings, and delays may occur due to third-party systems.

NO FINANCIAL ADVICE

All content provided on Whalesbook (alerts, articles, broadcasts) is for informational and educational purposes only.

• Whalesbook is NOT a SEBI-registered investment advisor.
• Nothing on the platform constitutes a recommendation to buy, sell, or hold any security.
• You bear full responsibility for your own investment decisions. Consult a certified financial advisor before trading.

To the fullest extent permitted by law, Whalesbook Private Limited, its directors, employees, or agents shall not be liable to you for any:

• Direct, indirect, consequential, exemplary, incidental, or punitive damages.
• Loss of profits, revenue, or data.
• Trading or Investment losses.
• Damages arising from your use of the service, missed alerts, or reliance on news.

Our liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to us during the one (1) month period prior to any cause of action arising.

20. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand made by any third party due to or arising out of:

• Your User Contributions.
• Your use of the Services.
• Your breach of these Legal Terms.
• Your violation of the rights of a third party.
