Fund Raise ka Full Plan Kya Hai?

Toh NMS Global ne EGM mein 1,17,03,500 convertible warrants non-promoters ko issue karne ka plan banaya hai. Har warrant ka price ₹72 rakha gaya hai (jismein ₹10 face value aur ₹62 premium hai). Issi se total ₹84.27 crore ka fund collect hone wala hai.

Fund ka usage bhi decide ho gaya hai: lagbhag 50% kaam-kaaj chalane ke liye (working capital), 25% naye acquisitions mein invest karne ke liye, aur baaki 25% general corporate purposes ke liye use hoga. Iss fundraising ka 25% paisa March 2026 tak aa jayega, aur baaki June 2027 tak.

Warrants ki validity 18 mahine tak hogi, jismein 25% allotment par aur 75% exercise par pay karna padega. Yeh sab ek independent valuer ke report ke base par decide hua hai.

Company ne Ms. Meenakshi Gupta ko non-independent non-executive director banane ka bhi proposal diya hai, jo 5 saal ke liye rahengi.

Shareholding mein non-promoter ka hissa badhega, par control change nahi hoga.
