Tata Sons ka bada plan: IPO ke liye badal raha hai governance structure!

Tata Sons ab apne internal rules ko update kar raha hai taaki wo public listing ke rules ko follow kar sake. RBI ne mandate kiya hai ki inhe market mein list hona hoga, jisse Tata Trusts ke purane control rights par impact pad sakta hai.

Kya chal raha hai Tata Sons mein?

Tata Sons apni 'Articles of Association' ko review kar raha hai. Ye step bahut bada hai kyunki company ab mandatory IPO ki taraf badh rahi hai. Reserve Bank of India (RBI) ne ise 'Upper Layer' NBFC ki category mein rakha hai, jiska matlab hai ki transparency aur regulatory compliance ke liye inhe stock market mein list hona hi padega.

Power structure mein kya badlav aayega?

Filhal, Tata Trusts ke paas 66% stake hai aur unke paas special rights hain. Ye rights unhe board members appoint karne aur important decisions par veto power dete hain. Lekin jab company public hoti hai, tab SEBI ke strict rules lagu hote hain.

SEBI ki Regulation 31B ke mutabik, promoter ke special rights ko public shareholders se har kuch time mein approve karwana padta hai. Iske alawa, listed companies ko independent directors aur structured committees maintain karni padti hain. Ye cheez purane 'private' control style se bilkul alag hai.

Investors ke liye kya matlab hai?

Agar ye IPO plan track par chalta hai, toh Tata group ek private trust-dominated model se nikal kar public accountability ki taraf badhega. Iska seedha asar Tata Trusts ke control par pad sakta hai kyunki unhe IPO ke norms ke hisaab se apne rights ko re-evaluate karna padega. Ab humein formal amendments aur IPO ki timeline ka intezaar hai, jo ye clear karega ki group apni purani legacy aur nayi regulatory requirements ko kaise balance karega.
