Swiggy ki 'Indian Owned and Controlled Company' (IOCC) banne ki koshish ko shareholders ne bada jhatka diya hai. Company ke Articles of Association (AoA) mein badlav ka ek zaroori proposal 75% approval se reh gaya, jise sirf 72.4% logo ne support kiya.
Is rejection ki wajah se, CFO Rahul Bothra aur co-founder Phani Kishan Addepalli ka board mein appoint hone ka plan abhi ruk gaya hai. Ye appointments June 1, 2026 se effective hone wali thi, agar amendment pass hota.
Governance Changes Blocked
Swiggy ke public listing (November 2024) ke baad shareholders ne pehli baar kisi proposal ke khilaaf vote kiya hai. Ye badlav Swiggy ke liye IOCC status hasil karne mein help karne wale the, jo ki especially Instamart jaise quick commerce business ke liye faydemand hota. Isse inventory, private label sourcing aur margin control mein flexibility milti.
Lagta hai investors ko governance changes par kuch alag views hain. Kuch proxy advisors aur institutional shareholders ko dar hai ki founder Sriharsha Majety ka influence zyada na ho jaye.
IOCC Rules aur Investor Scrutiny
India ke Foreign Exchange Management Act (FEMA) ke hisaab se, IOCC status ke liye ownership aur effective control dono Indian residents ke paas hone chahiye. Ye sirf shareholding tak seemit nahi hai, board composition aur nomination rights bhi include hain. Ek alag vote mein Renan De Castro Alves Pinto ko non-executive director banane ka proposal 98.98% se pass ho gaya, lekin AoA amendment ka fail hona dikhata hai ki investors corporate control mein bade changes ko le kar kaafi savdhaan hain.
Shareholder Mix aur Future Plans
Swiggy ke shareholders mein mostly funds (87.57%) aur retail investors (March 2026 tak 60-72%) hain. Foreign institutional investors 14.59% aur domestic institutional investors 1.94% hain. Accel aur SoftBank jaise bade investors ki holdings ab itni nahi rahi ki wo board nominations de saken.
Is setback ke bawajood, Swiggy ne kaha hai ki wo IOCC transition ke liye committed hai aur shareholders se baat karti rahegi. Company ne FY26 mein ₹4,154 crore ka loss report kiya tha, lekin March 31, 2026 ko end hone wale quarter mein net loss kam ho kar ₹800 crore ho gaya. Is quarter mein food delivery revenue 27.4% aur quick commerce revenue 53% badha.
