Boardroom mein kya chal raha hai?
Asal mein, JPL ki holding company JMNIPL ne JPL ko ek special notice bheja hai. Is notice mein kaha gaya hai ki JPL ke 8 Directors — jinmein 7 independent directors aur 1 whole-time director shamil hain — ko unke pad se hataya jaye. Reason yeh diya gaya hai ki in Directors ka appointment sahi tareeke se nahi hua tha.
Yeh sab JMNIPL ke voting rights ko lekar hue ek dispute ka result hai. Baat yeh hai ki JMNIPL ke Non-Executive Chairman, Mr. Mahendra Mohan Gupta, ne JMNIPL ke ek purane board decision ke mutabik vote nahi kiya, jiski wajah se yeh gadbad badhti gayi.
NCLT Mein Pata Chalega?
Mr. Gupta ka kehna hai ki JMNIPL ke voting rights ka exact scope aur unka use is waqt National Company Law Tribunal (NCLT), Allahabad Bench mein judicial review ke under hai. Do company petitions, "Mahendra Mohan Gupta and Ors. v. Devendra Mohan Gupta and Ors., C.P. No. 64 of 2023" aur "Shailendra Mohan Gupta and Ors. v. Jagran Media Network Investment Private Limited, C.P. No. 57 of 2025", is mamle se judi hui hain.
Is special notice ke jawab mein, JPL ke Directors ne February 12, 2026 ko hui meeting mein faisla liya hai ki woh NCLT mein apne liye jo bhi legal options available hain, unhein istemal karenge. Company ne promise kiya hai ki woh sabhi updates legal requirements ke hisab se website aur exchanges par share karegi.
Aage Kya Ho Sakta Hai?
- Governance Problem: Agar 8 Directors, jinmein independent directors bhi hain, hataye jaate hain, toh company ke board level par kaafi instability aa sakti hai. Isse decision-making par impact pad sakta hai.
- Legal Uncertainty: NCLT mein mamla chalne ki wajah se kaafi anishchitata hai. Court ka jo bhi faisla aayega, woh board ke structure aur functioning ko seriously affect kar sakta hai.
