Larsen & Toubro Ltd. announced Wednesday the execution of a Share Purchase Agreement to divest its entire shareholding in L&T Metro Rail (Hyderabad) Limited.
The buyer is Hyderabad Metro Rail Limited, an entity under the Government of Telangana. The sale consideration is set at ₹1,461.47 crore.
Deal Completion and Transition
Upon completion of the transaction, expected by June 30, 2026, L&T Metro Rail (Hyderabad) Limited will no longer be a subsidiary of Larsen & Toubro Ltd. Following the acquisition, Hyderabad Metro Rail Limited plans to refinance the existing debt associated with the metro project. Consequently, the corporate guarantee and letter of comfort previously issued by L&T for this debt will be released.
Subsidiary Financials
In the fiscal year 2025, L&T Metro Rail (Hyderabad) Limited reported revenues of ₹1,100.13 crore. This figure represented approximately 0.43% of Larsen & Toubro's total parent company revenue. The subsidiary's net worth stood at ₹807.49 crore as of the same period.
