Zomato is restructuring its portfolio by exchanging its holding in advertising firm Adonmo for a 5.4% stake in residential management platform Mygate. The deal, valued at Rs 156 crore, follows the planned merger of the two target firms. Mygate recently reported a 34% rise in annual turnover, reaching Rs 229 crore for the financial year ended March 2026, and will integrate Adonmo’s advertising technology into its platform.
Zomato is re-aligning its investment portfolio through a share-swap transaction involving Adonmo and Mygate. The company is exiting its standalone investment in the advertising firm Adonmo to acquire a 5.4% stake in the combined entity created by the merger of Mygate and Adonmo. This move reflects a shift in how the food delivery giant manages its stakes in technology-focused startups.
Transaction Details and Valuation
The share-swap agreement involves Zomato divesting its entire holding in Adonmo. In exchange, the company will receive a mix of Series C1 compulsorily convertible preference shares and equity shares in Vivish Technologies, the parent company of Mygate. This transaction places a valuation of Rs 156 crore on the stake Zomato is acquiring, which is a premium over the Rs 112 crore the company initially invested in Adonmo in January 2022.
The parties have set a timeline to finalize the legal agreements by October 31, 2026. The transaction is expected to close by December 5, 2026, provided standard regulatory and closing conditions are met.
Strategic Shift and Operational Impact
Mygate, which has been providing residential management, security, and accounting software since 2016, is looking to scale its capabilities. By merging with Adonmo, Mygate plans to integrate Adonmo’s cloud-connected digital advertising network into its gated-community management services. This integration could potentially open new revenue streams by allowing advertisers to reach the resident base within Mygate’s network.
Financially, Mygate has shown growth, reporting an annual turnover of Rs 229 crore for the financial year ended March 2026. This is a 34% increase compared to the Rs 171 crore reported in the previous fiscal year. For Zomato, this consolidation allows it to maintain a presence in the residential technology space while streamlining its portfolio into a larger, merged entity rather than holding fragmented stakes in smaller firms.
What Investors Should Track
While the financial impact of this stake swap on Zomato's overall balance sheet is relatively small, the primary monitorable for investors is the operational success of the merger between Mygate and Adonmo. The success of this move depends on how effectively the two platforms integrate their different service offerings and whether this combined entity can drive higher engagement and profitability in the competitive residential tech market. Investors may also want to monitor any future updates on the timeline for finalizing the deal by the scheduled December deadline.
