Uber Wins Board Backing for $14.8 Billion Delivery Hero Takeover

Delivery Hero’s boards have recommended that shareholders accept Uber’s $14.8 billion all-cash acquisition offer. The deal aims to significantly expand Uber’s global food delivery footprint, though it remains subject to regulatory approvals and a 50% minimum acceptance threshold.

Delivery Hero’s management and supervisory boards have officially advised shareholders to accept Uber’s voluntary public takeover offer. The all-cash bid, priced at €41.50 per share, values the company at approximately $14.8 billion. This recommendation marks a pivotal moment in the ongoing effort to consolidate the global food delivery sector, potentially creating a unified platform with operations spanning 99 countries.

The strategic focus of this acquisition is scale. By integrating Delivery Hero, Uber intends to strengthen its competitive position against rivals such as DoorDash. The deal is structured as an all-cash transaction, providing shareholders with a clear exit price. Major investor Prosus has already committed to selling its 16.68% stake, which significantly improves the likelihood of reaching the deal's required acceptance threshold.

For the acquisition to succeed, Uber must secure at least 50% plus one share of Delivery Hero’s outstanding stock. The acceptance period for shareholders is currently open and is scheduled to close on November 5, 2026. If the threshold is met, the next critical step will be navigating various regulatory and antitrust reviews, which are standard for transactions of this size and international reach.

As part of the conditions to finalize the agreement, Delivery Hero has entered into a deal to divest its operations across 14 specific markets to investment firm SSW Partners. This move is designed to streamline the company’s business structure and address potential antitrust concerns that regulators often raise during large-scale mergers.

Investors should monitor the upcoming deadline and any updates from regulatory bodies. While the board’s endorsement is a strong signal of support, the final completion of the merger depends on both the shareholder vote and the ability to obtain necessary government approvals across the various regions where both companies operate.
