ITC Infotech has entered into a definitive agreement to acquire a significant 22.106% stake in Happiest Minds Technologies for ₹1,329.72 crore. The acquisition, involving 33.6 million shares, will be purchased directly from the company's founder, Ashok Soota, and the associated promoter group. The transaction is set to occur in two stages: an 11% stake will be acquired at ₹390 per share, followed by an 11.106% stake at ₹400 per share.
This agreement is a strategic precursor to an amalgamation where Happiest Minds will merge into ITC Infotech. For investors, the most significant aspect of this deal is the path it creates for ITC Infotech to become a publicly listed company on the NSE and BSE. Under the proposed merger structure, shareholders of Happiest Minds will receive 25 fully paid-up shares of ITC Infotech for every 81 shares of Happiest Minds they hold.
