Happiest Minds Q2 Profit Up 15% Amid ITC Infotech Merger

Happiest Minds Technologies reported a 15% rise in net profit to ₹62.2 crore for Q2 FY27, with revenue growing 12.5% to ₹645.43 crore. The company also declared an interim dividend of ₹3.05 per share while moving ahead with its strategic merger with ITC Infotech to target $1 billion in revenue by 2028.

Happiest Minds Technologies reported its financial results for the second quarter of the 2027 fiscal year, balancing year-on-year growth against the complexities of its upcoming merger with ITC Infotech. The company posted a revenue of ₹645.43 crore, a 12.5% increase compared to the same period last year. While the company reported a standalone net profit of ₹62.2 crore, marking a 15% year-on-year rise, adjusted profits showed a sharper growth of 20.7% to ₹79.11 crore.

The board has declared an interim dividend of ₹3.05 per equity share, which has a face value of ₹2. Investors should note that the record date for this payout is November 6, 2026.

Strategic Merger with ITC Infotech

A significant part of the company's recent activity involves the planned merger with ITC Infotech. This integration is designed to create an AI-focused entity with a long-term goal of achieving $1 billion in revenue by the 2028 fiscal year. The transaction is structured as a two-step process: ITC Infotech will first acquire a 22.1% stake from Happiest Minds' promoter Ashok Soota and his affiliated entities. This will be followed by a share-swap merger, where shareholders will receive 25 shares of ITC Infotech for every 81 shares of Happiest Minds held.

Financial Context and Risks

Despite the positive year-on-year figures, the company’s quarterly performance reflected some underlying challenges. The firm reported a sequential decline in net profit compared to the first quarter of the year, alongside some pressure on profit margins. The latest earnings statement also included an exceptional charge of ₹3.98 crore, which management attributed to costs related to the ongoing merger integration.

For investors, the merger remains a critical monitorable. While the strategic intent is to scale up, the process involves complex integration risks and requires various regulatory approvals over the next 15 months. Market sentiment toward the stock has shown volatility since the merger was first announced in August 2026, with some investors remaining cautious about the valuation and the specific terms of the share-swap agreement.

Looking ahead, the company’s ability to maintain margins while navigating the integration with ITC Infotech will be essential. Investors may want to track updates regarding regulatory clearances and the timeline for the final amalgamation, as these will directly impact the structure and financial outlook of the combined entity.
