3M has entered a partnership with Amazon to supply optical connectivity technology for data centers. The agreement includes stock warrants worth over $521 million, tied to purchase milestones over the next seven years. This move highlights 3M's push into high-growth artificial intelligence infrastructure, following a similar deal with Microsoft earlier this year.
Industrial giant 3M is expanding its footprint in the artificial intelligence infrastructure market through a new commercial agreement with Amazon. As part of the deal, 3M will supply specialized optical connectivity products designed to support the massive data transfer needs of modern data centers. The partnership includes a financial arrangement involving stock warrants issued to an Amazon subsidiary, potentially valued at more than $521 million.
The Warrant Structure
The deal structure incentivizes long-term cooperation. Amazon holds the right to purchase up to 3.16 million 3M shares at a price of $164.89 per share over the next seven years. However, this is not an immediate cash transfer. The ability to exercise these warrants is performance-based. Approximately 85% of the shares are linked to specific purchase milestones. 3M will need to supply optical and data center components to Amazon, with the full vesting of these shares triggered only once the total purchase volume hits a $6 billion threshold. The remaining 15% of the shares will vest upon other performance-based goals set by both companies.
Moving Toward High-Value Tech
This agreement reflects a strategic shift for 3M. Historically known for diverse industrial and consumer products, the company is increasingly focusing on specialized hardware for hyperscale computing. This follows a similar development earlier this summer, when Microsoft became the first major cloud provider to adopt 3M’s proprietary Expanded Beam Optics technology for its AI-focused data centers. By securing these long-term partnerships with the world's two largest cloud providers, 3M is attempting to establish its hardware as a standard in the industry.
Risks and Investor Monitorables
While the partnership signals a major revenue opportunity, there are risks investors should consider. The primary risk is execution. The financial benefit from the warrant deal is entirely dependent on Amazon actually purchasing $6 billion worth of equipment. If demand for this specific optical technology slows, or if Amazon switches to alternative suppliers or new types of data center designs, 3M may not meet these procurement milestones.
Additionally, the company is betting heavily that these specific optical products will remain essential as AI data center designs evolve. Rapid technological changes in data center infrastructure could render current hardware less relevant, which would impact the long-term viability of these supply agreements. Investors should track future earnings reports and company updates regarding the actual volume of orders received from these major tech partners. The stock showed positive movement, rising more than 5% during extended trading sessions following the announcement, reflecting market optimism about the firm’s pivot toward cloud infrastructure.
