A shareholder proposal at Tesla aimed to get board approval for the company to invest in Elon Musk's artificial intelligence venture, xAI. The proposal received 1.06 billion votes in favor and 916.3 million votes against. However, the outcome was complicated by over 473 million abstentions. Under Tesla's bylaws, abstentions are treated as votes against a proposal. Consequently, the nonbinding measure failed to achieve the necessary support for passage.
Impact: Although this was an advisory vote, Tesla's board will consider the shareholder sentiment. Tesla's Chair Robyn Denholm previously expressed reservations, distinguishing xAI's broad AI focus from Tesla's specific applications in energy and transportation. Tesla's proxy statement also noted that ventures like xAI might not align with Tesla's core mission and should not necessarily be funded by Tesla's resources.
Despite the proposal's failure, Tesla and xAI maintain business relationships. xAI has purchased nearly $200 million worth of Tesla's Megapack batteries, and Tesla vehicles are integrating xAI's chatbot, Grok. This vote indicates a degree of shareholder caution regarding extensive investments in Musk's other ventures. The potential for Tesla to take a significant stake in xAI is now less certain.
