The National Stock Exchange of India (NSE) reported a 7% rise in Q1 profit to ₹3,120 crore, driven by strong transaction income. The exchange has also received in-principle approval from SEBI to settle long-pending co-location cases for ₹1,491 crore. These developments align with the exchange's preparations for a major upcoming IPO estimated at ₹30,000 crore.
The National Stock Exchange of India (NSE) has reported a solid start to the new fiscal year, with its consolidated profit after tax rising 7 percent to ₹3,120 crore for the quarter ended June 2026. This financial performance reflects a robust increase in total income, which grew by 9 percent year-on-year to reach ₹5,252 crore.
Revenue Drivers and Operational Costs
The primary contributor to this growth remains the transaction charges collected from market participants. During the first quarter of FY27, transaction charges rose to ₹3,623 crore, up from ₹3,154 crore in the same period last year. Other revenue streams, including data connectivity charges, data feed services, and operating investments, contributed steadily to the top line. On the expenditure front, the exchange managed its costs effectively, reporting total expenses of ₹1,129 crore for the quarter.
Beyond its operational expenses, the NSE continues to play a significant role as an exchequer for the government. In the June quarter alone, the exchange facilitated the collection and transfer of ₹20,579 crore in various taxes and fees, including Securities Transaction Tax (STT), stamp duty, and Goods and Services Tax (GST). Equity derivatives continue to dominate the tax collection pool, accounting for 57 percent of the STT and CTT inflows.
Resolving Regulatory Hurdles
A major update for stakeholders is the resolution of long-standing regulatory issues. The Securities and Exchange Board of India (SEBI) has provided in-principle approval to settle the co-location and dark fibre cases. The total settlement amount is finalized at ₹1,491.21 crore. After accounting for the ₹776.47 crore already deposited with the regulator, the NSE Board approved the payment of the remaining ₹714.74 crore on July 30, 2026. This settlement is a critical step in clearing the path for the exchange's long-anticipated public listing.
Path to Public Listing
With regulatory clarity emerging, the NSE is actively progressing toward its Initial Public Offering (IPO). The exchange filed its draft papers with SEBI in June 2026. The proposed IPO is structured as an Offer for Sale, where existing shareholders will offload approximately 14.89 crore shares, amounting to a 6 percent stake. With an estimated valuation that could see the public issue raise around ₹30,000 crore, it is positioned to be a landmark event for the Indian capital markets.
Investors tracking the exchange should watch for updates on the final approval for the IPO, as well as the timeline for the remaining payment to the regulator. The sustainability of transaction charge income, which remains the lifeblood of the exchange's revenue, will also be a primary focus as market activity fluctuates.
