The scrutiny stems from a business relationship involving TVS Chairman Emeritus Venu Srinivasan, who sits on the Tata Sons board that evaluates the Chairman's role. The corporate governance landscape is facing renewed attention following business dealings between TVS Motor Company and Hanno One Warehousing, a firm linked to the family of Tata Sons Chairman N. Chandrasekaran, specifically his wife and son. The projects in question involve a total value of approximately Rs 436 crore, covering facilities in Tamil Nadu and a planned industrial park in Karnataka.

The core of the governance concern lies in the relationship between the leadership of the two groups. Venu Srinivasan, Chairman Emeritus of TVS Group, holds a position on the board of Tata Sons. Furthermore, he serves on the Nomination and Remuneration Committee, which is responsible for reviewing the performance and compensation of N. Chandrasekaran. Mr. Srinivasan notably voted in favor of extending Mr. Chandrasekaran’s tenure as Tata Sons Chairman in September 2026.

Reports indicate that these commercial links were not disclosed to the Tata Sons board or to the Tata Trusts, which are the principal shareholders of Tata Sons. Under corporate governance standards, material business interests involving immediate family members of key management personnel generally require transparent disclosure to prevent conflicts of interest. The lack of such disclosure has led to questions regarding whether these arrangements were reviewed against the Tata Group's internal Code of Conduct.

The situation is unfolding against a backdrop of broader boardroom tensions within the Tata Group, particularly regarding the relationship between Tata Sons and Tata Trusts. These entities have been navigating disagreements concerning leadership, the potential listing of Tata Sons, and overall trust governance. The business projects include a warehouse facility in Uddanapalli, Tamil Nadu, valued at Rs 106.3 crore, and a planned industrial park in the Immavu Industrial Area near Mysuru, Karnataka, with an estimated investment of Rs 330 crore. Both projects involve Hanno One Warehousing acting as a key service provider.
