Supreme Court Clears Path for NSE IPO After Dismissing SEBI Appeals

The Supreme Court has dismissed SEBI’s long-standing appeals against the National Stock Exchange regarding its past data center practices, removing a key regulatory hurdle for the exchange's initial public offering. This resolution follows a Rs 1,491.21 crore settlement and clears the way for the exchange to move forward with a public listing, expected to be valued at approximately Rs 30,000 crore.

The legal uncertainty surrounding the National Stock Exchange of India (NSE) has come to an end after the Supreme Court dismissed the Securities and Exchange Board of India’s (SEBI) appeals related to the exchange’s co-location and dark fibre cases. These cases, which have been active since 2015, investigated allegations that the exchange had provided certain brokers with unfair speed advantages in data access.

This judicial decision serves as a significant milestone for the exchange, effectively removing the primary institutional barrier that had stalled its public listing plans for years. The resolution is supported by a financial settlement of Rs 1,491.21 crore, which the NSE reached with the regulator in July 2026. The exchange had already made full provisions for this settlement amount in its FY26 financial statements, meaning the payment has been accounted for and does not pose an immediate new impact on its balance sheet.

With the legal burden cleared, the focus of the market now shifts toward the exchange’s highly anticipated initial public offering (IPO). The IPO is structured as an Offer for Sale, where existing shareholders will sell their stakes, meaning there will be no new shares issued to raise funds for the company. Industry estimates suggest the offering could be valued at approximately Rs 30,000 crore, making it one of the largest public market entries in recent Indian history.

SEBI Chairman Tuhin Kanta Pandey recently indicated that the regulator is expected to provide final approval for the NSE's Draft Red Herring Prospectus (DRHP) soon. This document is a critical step that will outline the company's financial health, risks, and business model for potential investors. Once the DRHP is approved and filed, it will provide the formal roadmap for the IPO launch.

While the clearing of the legal case is a major step forward, investors should note that other governance aspects remain relevant. The exchange is still navigating legal questions regarding its status as a public authority under the Right to Information (RTI) Act, which continues to be a subject of discussion. Additionally, the final success of the IPO will depend on broader market conditions and investor sentiment at the time of the launch, as is standard with any large-scale market offering.

The next important update for the market will be the filing of the draft prospectus and subsequent announcements regarding the official IPO timeline.
