The Securities and Exchange Board of India is finalizing recommendations to distinguish between mutual fund distributors and investment advisers. The report aims to resolve role conflicts, potentially reshaping how financial products are sold and advice is provided. This is part of a broader 2026 regulatory push to improve transparency, streamline compliance, and strengthen protection for retail investors.

The Securities and Exchange Board of India is nearing the completion of a review aimed at defining clearer boundaries between mutual fund distributors and registered investment advisers. This regulatory update, confirmed by Executive Director Manoj Kumar at the Global Fintech Fest in Mumbai, addresses the long-standing overlap between commission-based product distribution and fee-based investment advice. The working group’s recommendations, expected soon, could fundamentally change the operational framework for these intermediaries.

Clarifying the Advice vs. Distribution Divide

The central issue regulators are targeting is the lack of a clear separation between those who sell mutual funds and those who advise on them. Currently, mutual fund distributors are compensated through commissions paid by fund houses, while registered investment advisers charge a fee directly to clients. The confusion between these two models can sometimes lead to conflicts of interest, where investors may not fully understand whether they are receiving unbiased financial advice or a product recommendation designed to generate commissions.

The regulator is evaluating options such as creating limited investment adviser licenses or granting deemed status to certain distributors. These steps are intended to ensure that distributors can serve their clients without overstepping into the territory of regulated advisory services. By formalizing these roles, the regulator hopes to enhance investor trust and ensure that retail participants receive the level of professional service they expect.

New Digital Tools and Regulatory Support

Beyond simply defining roles, the regulator is introducing measures to lower the hurdles for compliance. A key project is the development of 'SEBI Setu,' a digital platform designed to provide end-to-end regulatory guidance for investment advisers. This initiative, alongside a forthcoming common advertisement code for all intermediaries, aims to reduce the operational complexity that firms currently face. The goal is to make it easier for legitimate advisers to conduct business while maintaining high standards of communication with the public.

These changes come at a time when the number of registered investment advisers in India has been declining. By simplifying the rules and providing better support tools, the regulator aims to stabilize the advisory segment and keep more professionals within the regulated fold.

Broader 2026 Reforms to Simplify Market Rules

This initiative is part of a wider effort in 2026 to modernize the mutual fund industry. The regulator is also currently processing industry feedback on the simplification of portfolio management service regulations, aiming to make these rules more streamlined for both providers and clients. Furthermore, broader reforms, such as the implementation of a 50% portfolio overlap ceiling for sectoral and thematic equity schemes, show a sustained focus on tightening mutual fund operations to protect investor interests.

Investors should monitor how these changes affect compliance costs for financial firms. While stricter rules often bring temporary adjustments in business models, the long-term intent is to reduce confusion in the marketplace. The specific impact on market participants will depend on the final implementation details and the timeline provided for transition in the regulator's forthcoming report.
