The Securities and Exchange Board of India (SEBI) has directed Avadhut Sathe Trading Academy to refund ₹546.17 crore to investors for running an unregistered investment advisory service. The regulator also imposed an ₹11.5 crore penalty and banned the academy’s leadership from market access. This order underscores the importance of verifying an entity’s registration status before paying for financial advice or trading recommendations.
The Securities and Exchange Board of India (SEBI) has passed a significant order against Avadhut Sathe Trading Academy Private Limited and its founder, Avadhut Sathe, for operating as an investment adviser and research analyst without the required registration. In a move to protect investors, the regulator has ordered the firm to refund ₹546.17 crore that it had collected from participants. Including accrued interest of ₹67.87 crore, the total amount payable is substantial.
The regulator’s investigation found that the academy attracted participants through various trading courses and private messaging groups. While these platforms were ostensibly for education, the firm frequently offered specific investment recommendations without following the mandatory process required of registered advisers. SEBI noted that the firm failed to assess the suitability of these recommendations for its clients, a critical requirement designed to ensure that financial advice matches an investor's risk profile.
Alongside the refund order, SEBI has imposed monetary penalties totalling ₹11.5 crore. The academy faces a penalty of ₹6 crore, while founder Avadhut Sathe and Gouri Avadhut Sathe are personally liable for ₹4 crore and ₹1.5 crore, respectively. As part of the enforcement, the academy and its founder are barred from accessing the securities market for two years or until the refund process is completed. Gouri Avadhut Sathe faces a six-month ban.
To ensure the refunds are processed, SEBI has ordered the freezing of the entity’s bank accounts. The firm must complete the refund process within five months and is required to publish public notices in newspapers within 30 days to inform affected participants.
This case serves as a crucial reminder for retail investors to check the registration status of any entity offering financial advice. In India, anyone providing investment advisory or research services must be registered with SEBI as an Investment Adviser (IA) or Research Analyst (RA). These registered entities are legally bound by a code of conduct that includes fiduciary duties, clear disclosure of risks, and suitability assessments. Entities that operate without this registration often lack oversight, leaving investors with little recourse if their capital is lost due to poor advice. Investors are encouraged to verify the registration number of any advisor or analyst on the official SEBI website before engaging their services or paying for advisory-linked courses.
