SEBI Issues Show-Cause Notice to Paytm Executives Over 2023 Disclosure

Market regulator SEBI has issued a show-cause notice to One 97 Communications executives regarding the timing of a December 2023 announcement. The probe investigates whether the company followed mandatory disclosure rules when it revealed plans to scale back its small-loan business, an event that previously triggered a significant drop in stock price.

The Securities and Exchange Board of India (SEBI) has initiated an investigation into the disclosure practices of One 97 Communications, the parent company of digital payments firm Paytm. On August 11, 2026, the market regulator issued a show-cause notice to the company’s key managerial personnel.

The regulatory notice focuses on a specific corporate announcement made on December 6, 2023. At that time, Paytm informed the public and the stock exchanges about its decision to scale back the distribution of small-ticket loans, specifically those below ₹50,000, which were a core part of its "buy now, pay later" (BNPL) product offerings. SEBI is now examining whether the company communicated this decision to investors in accordance with mandatory disclosure norms regarding unpublished price-sensitive information.

Back in December 2023, the announcement regarding the change in lending strategy led to a sharp negative reaction in the stock market, with shares falling nearly 20% in a single trading session. The current regulatory probe aims to determine if the company should have categorized this information as price-sensitive and disclosed it earlier than it did.

One 97 Communications has acknowledged receiving the notice and stated that its team is currently reviewing the contents. The company emphasized that this is a preliminary regulatory process and that it intends to provide a formal response within the mandated 14-day window. In its communication, the company stated that it does not anticipate any material financial impact on its business operations resulting from this specific regulatory inquiry.
