The Securities and Exchange Board of India has imposed a one-year market ban on Trafiksol ITS Technologies and its promoters, Jitendra Narayan Das and Poonam Das. This follows the discovery of fabricated documents and misleading disclosures during the company's failed SME IPO, which resulted in a ₹1.05 crore penalty and a mandatory refund to all subscribers.

The Securities and Exchange Board of India (SEBI) has issued a final order barring Trafiksol ITS Technologies and its two primary promoters, Jitendra Narayan Das and Poonam Das, from accessing the securities market for one year. The regulator also imposed a cumulative penalty of ₹1.05 crore on the company and its promoters following an investigation into the firm’s proposed SME initial public offering.

The regulatory action stems from irregularities discovered during the company's attempt to raise ₹44.87 crore through an SME IPO. Although the issue saw significant interest, the process was halted after scrutiny revealed deep governance failures. Investigations found that the company used fabricated documents to justify its financial requirements to potential investors. Specifically, the regulator flagged a proposed allocation of ₹17.70 crore for software procurement through an entity called Oasis Corpcare. The probe concluded that this entity was a shell company, and the documents provided to justify the expense were forged.

To protect the interests of those who had subscribed to the IPO, the regulator mandated the cancellation of the issue and ordered the full refund of all subscription amounts. The investigation highlighted that the company had systematically concealed material facts and overstated its financial health in its offer documents. This level of deception regarding the use of proceeds and the integrity of the company's supply chain led to the severe regulatory crackdown.

The case highlights the persistent risks within the SME segment, where transparency and financial reporting standards remain under intense regulatory watch. For market participants, the incident serves as a significant case study on the importance of due diligence. Even in cases where an IPO is heavily oversubscribed, the findings of this probe demonstrate that investor protection measures remain active, and regulatory oversight is robust enough to uncover financial misrepresentation.
