The Securities Appellate Tribunal (SAT) has dismissed an appeal by Omaxe Limited, upholding a SEBI order that penalized the company for using 'sham' financial transactions to inflate its records. The ruling confirms a two-year market access ban on the company's top leadership. Investors should monitor the company's regulatory compliance and future governance updates following this decision.

The Securities Appellate Tribunal (SAT) on September 1, 2026, dismissed an appeal filed by Omaxe Limited and its senior leadership. This ruling upholds a July 2024 order issued by the Securities and Exchange Board of India (SEBI), which had flagged serious concerns regarding the company's financial accounting practices. The tribunal agreed with the regulator’s findings that Omaxe engaged in a series of circular financial transactions that served no actual commercial purpose and were designed to create a false impression of financial strength.

Tribunal Finds Transactions Not Genuine

The tribunal’s decision centers on a practice known as round-tripping, where funds are transferred in a circle between related or connected entities to artificially boost reported revenue and financial health. In this case, records showed that Omaxe funneled approximately ₹647.73 crore through its subsidiaries to an entity identified as Jeet Builders Private Limited, only for the money to be returned to the parent company shortly after. The tribunal concluded that these moves were 'make-believe' deals used to dress up financial statements between fiscal years 2018 and 2021.

Beyond these circular transfers, the ruling also highlighted issues regarding the recognition of revenue from land sales. The tribunal noted instances where Omaxe recorded revenue from property deals, such as one involving Pullback Apparels, despite not having a valid title or completed transfer documents at the time. These practices were deemed misleading to investors, leading the tribunal to maintain the regulatory penalties.

Impact on Leadership and Operations

As a result of the dismissed appeal, the two-year market access ban imposed by SEBI on the company's promoters, Chairman Rohtas Goel and Managing Director Mohit Goel, remains in effect. These individuals are barred from accessing the securities market for this period. The order also includes monetary penalties levied by the regulator.

In response to the tribunal's decision, Omaxe Limited has informed the stock exchanges that it is currently reviewing the order. The company stated that it does not expect this ruling to have any additional material impact on its current day-to-day operations beyond what was already disclosed in previous regulatory filings. The company is evaluating its options regarding further legal remedies.
