Ola Electric ₹1,000 Crore Rights Issue Faces SEBI Probe

Ola Electric has announced a ₹1,000 crore rights issue, but the move faces significant scrutiny due to a SEBI investigation into alleged misleading disclosures. Auditors have also flagged gaps in internal financial controls for FY26. For investors, these governance and compliance issues raise questions about the company's financial transparency as it seeks additional capital.

Ola Electric Mobility is seeking to raise ₹1,000 crore through a rights issue, a move currently overshadowed by regulatory challenges and concerns over financial reporting. The company, led by founder Bhavish Aggarwal, is facing a Securities and Exchange Board of India (SEBI) investigation regarding its public communications and operational metrics.

The regulator has issued a show-cause notice questioning the accuracy of Ola Electric’s past disclosures. SEBI has specifically looked into claims made about sales metrics, store expansion, and delivery timelines for the Roadster motorcycle prototypes. Among the allegations is that the company counted confirmed orders as completed sales, leading to inflated performance figures. Regulators also pointed to discrepancies linked to share price movements that occurred following announcements about store expansion plans.

Beyond regulatory scrutiny, the rights issue document reveals deeper internal governance issues. Auditors issued a qualified opinion regarding the consolidated internal financial controls for the fiscal year 2026. This means the auditors found the company's internal reporting and checks to be insufficient. The report highlights that mandatory internal audit systems were missing at the company level and in subsidiaries like Ola Cell Technologies and Ola Electric Technologies. Concerns were also raised regarding how inventory is verified, which is a critical process for a manufacturing business.

This capital raise comes after previous funding rounds, including a large Initial Public Offering (IPO) and institutional placements. Observers have noted that with money from previous raises still available, this new request for funds has prompted questions about the company’s capital planning. While management continues to focus on dealer network expansion, the combination of a pending settlement application with SEBI—filed in June 2026—and the audit findings has created uncertainty for shareholders.

The company’s future performance will likely be tied to its ability to resolve these regulatory matters and improve its internal financial systems. Investors are likely to track the progress of the pending SEBI settlement and any updates on the company’s operational metrics. The key for shareholders will be determining if the reported growth in the dealer network translates into reliable, verified sales figures and if the company can effectively address the identified gaps in internal financial controls.
