NSE Clears Path for IPO After ₹1,491 Crore SEBI Settlement

The NSE has received in-principle approval from SEBI to settle long-standing colocation and dark-fibre disputes by paying an additional ₹714.74 crore. With the total settlement reaching ₹1,491.21 crore, this decision removes a major regulatory hurdle for the exchange's highly anticipated public listing.

The National Stock Exchange of India (NSE) has moved closer to its public market debut following an in-principle settlement with the Securities and Exchange Board of India (SEBI). The agreement resolves long-pending disputes regarding the colocation and dark-fibre issues, which had previously created a legal and governance cloud over the institution. According to an exchange disclosure, the NSE board met on Thursday to approve an additional payment of ₹714.74 crore. This brings the total settlement amount to ₹1,491.21 crore, including the ₹776.47 crore that had been previously deposited.

Resolving Legacy Regulatory Challenges

The colocation controversy originated from allegations that some market participants gained unfair advantages through preferential access to server infrastructure at the NSE premises during 2015 and 2016. These events triggered prolonged regulatory scrutiny and investigations, impacting the exchange's image and delaying its IPO plans. By moving toward a formal settlement, the exchange aims to close this chapter and satisfy regulatory requirements before proceeding with its public issue. The settlement process involved several rounds of negotiations, with the NSE submitting revised terms earlier this year to align with SEBI's expectations.

Financial Performance and Market Position

This regulatory clarity coincides with the exchange's robust financial growth. In its results for the quarter ended June 2026, the NSE reported a consolidated net profit of ₹3,120 crore, rising from ₹2,923.85 crore in the same period a year ago. Operating revenue also demonstrated healthy growth, reaching ₹4,560 crore compared to ₹4,032 crore in the previous year, although revenue did see an 8% dip on a quarter-on-quarter basis. As the dominant player in the Indian derivatives and cash market segments, the NSE holds a significant business advantage over other domestic exchanges. The IPO is proposed as an offer for sale, where existing shareholders intend to divest approximately 6% of the exchange's paid-up capital.

Implications for the Upcoming IPO

The expected IPO is slated to be one of the largest in India's history, with estimates suggesting it could raise over ₹30,000 crore based on current valuations in the unlisted space. With the primary regulatory overhang now largely addressed, market observers will look for the next steps in the IPO timeline, including official SEBI approval for the draft documents and the announcement of the public issue dates. Investors monitoring the situation should track the exchange's ability to maintain its profit margins and market leadership as it transitions into a publicly listed company, while also observing any further regulatory conditions that might be attached to the final settlement order.
