India Cements Capital Open Offer Starts Oct 28 at ₹12 Per Share

A group of new investors is launching an open offer for a 26% stake in India Cements Capital at ₹12 per share, following their acquisition of a 50.02% controlling interest. This change in ownership, aimed at operational revival, is scheduled for public participation between October 28 and November 11, 2026.

A group of individual investors has initiated an open offer to acquire up to 26% of India Cements Capital. This move follows an agreement by the investor group—comprising Sandeep Jain, Vikas Garg, Rahul Nagar, and Neha Agarwal—to purchase a 50.02% controlling stake from the current promoter, Sri Saradha Logistics Private Ltd. The open offer is set at ₹12 per share, representing a total potential investment of ₹6.7 crore for the public float.

The transaction is being managed by Fintellectual Corporate Advisors Private Ltd. The new investor group has stated its objective is to improve the company's operational performance. While the immediate strategy involves strengthening existing capabilities, the buyers have indicated that future diversification may be explored, pending the necessary shareholder approvals after they assume control.

The open offer is scheduled to run from October 28, 2026, until November 11, 2026. The Reserve Bank of India has already granted the required clearance for this transaction. However, the change in control for the firm's subsidiary, India Cements Investment Services Ltd, remains subject to final approval from the Securities and Exchange Board of India (SEBI).

Upon the successful completion of this offer, the current promoter group, Sri Saradha Logistics, is expected to exit, and management control will transition to the new investor group. The incoming owners bring experience from the technology and finance sectors, which may lead to a shift in the company's operational focus. For shareholders, the most important monitorables moving forward will be the future business strategy, the management's plan for operational turnaround, and the timeline for final regulatory clearances regarding the subsidiary.
