Tata AGM Adjourned; Telecom Tariff Shifts And Vizhinjam Port Update

Tata Sons adjourned its AGM for the first time in over a century due to governance issues, leaving key financial decisions pending. Meanwhile, telecom giants are silently raising effective costs through plan adjustments. In other updates, Vizhinjam Port has started full export-import operations, and the Income Tax Department has launched a nationwide probe into 394 entities over suspicious foreign remittances.

In a rare development for India’s corporate sector, Tata Sons adjourned its annual general meeting (AGM) on Tuesday, the first such pause in its 109-year history. The meeting could not proceed as planned due to governance issues involving the Sir Ratan Tata Trust (SRTT), which faced regulatory restrictions on nominating a representative. This adjournment means that essential corporate approvals, including the adoption of financial statements for the fiscal year 2026 and dividend declarations, are currently on hold. Investors and market watchers are monitoring the situation as it also impacts decisions regarding the directorship of N. Chandrasekaran, whose tenure remains in focus until a valid AGM is convened.

In the telecom sector, Bharti Airtel and Reliance Jio are implementing strategic changes that point toward higher costs for mobile users. Rather than announcing explicit price hikes, operators have begun discontinuing lower-cost prepaid plans and introducing new membership structures, such as Jio’s new 'Prime' offering. This approach effectively nudges subscribers toward higher-value plans. For investors, this shift is often aimed at improving Average Revenue Per User (ARPU), as telecom companies seek to balance revenue growth with the need to retain and acquire new subscribers in a competitive market.

Meanwhile, the infrastructure sector saw a milestone in Kerala as the Vizhinjam International Seaport commenced full-fledged export-import operations on Tuesday. This transition shifts the facility’s role from a transshipment hub to a major commercial gateway. The project, operated by Adani Ports and Special Economic Zone (APSEZ), has already seen investments exceeding ₹7,700 crore, with an additional ₹16,000 crore committed for capacity expansion. The move is expected to provide exporters with faster, direct access to international markets, marking a notable step for regional trade logistics.

Separately, the Income Tax Department has launched a nationwide verification drive targeting 394 entities and 36 professionals. The probe centers on suspicious foreign remittances processed over the last three years. Authorities are scrutinizing potential shell companies, their beneficial owners, and the accountants who issued Form 15CB certificates, which are required for foreign payments. Preliminary checks have flagged irregularities, such as registered addresses not matching operations and activities that do not align with the stated purpose of remittances. The department is also evaluating whether the certifying professionals conducted sufficient due diligence before clearing these transactions. Investors in smaller, unlisted entities may note that such regulatory scrutiny can impact operational compliance and financial transparency within the sector.
