Nobel Hygiene Files For Rs 150 Crore IPO To Fund Expansion

Nobel Hygiene has filed draft papers with SEBI for a Rs 150 crore IPO to expand its Halol manufacturing plant and repay debt. The company reported a significant rise in profits to Rs 18.9 crore in FY26, though it faces stiff competition in the hygiene sector.

Nobel Hygiene, a prominent player in the Indian disposable hygiene products market, has filed its draft papers with the Securities and Exchange Board of India (SEBI) for an initial public offering (IPO). The company, known for its 'Friends' brand of adult diapers, aims to raise Rs 150 crore through a fresh issuance of equity shares. This move marks a significant step for the company as it looks to strengthen its capital structure and scale up its production capabilities.

IPO Structure and Use of Funds

The proposed public issue includes a fresh issuance of equity shares worth Rs 150 crore. Additionally, the company has planned an offer for sale (OFS) of up to 1.55 crore shares by existing shareholders. Key investors participating in the sale include Orbit Investment Holdings, which manages funds for Quadria Capital, as well as Sixth Sense Ventures and Bennett Trading LLP.

A core focus of the fundraising is to manage the company’s debt. Out of the total proceeds from the fresh issue, approximately Rs 42 crore will be utilized to repay outstanding borrowings. As of June 2026, the company reported a total debt of Rs 114.3 crore. By paying down a portion of this debt, the company aims to improve its financial flexibility. The largest allocation of funds, roughly Rs 71.3 crore, is dedicated to expanding capacity. This includes setting up a new manufacturing facility at the company’s Halol plant in Gujarat and acquiring a new production line specifically for adult diapers to cater to rising demand.

Financials and Market Challenges

The company’s recent financial results show a marked improvement. For the fiscal year ending March 2026, Nobel Hygiene reported a net profit of Rs 18.9 crore, a substantial increase from Rs 0.2 crore in the previous fiscal year. Revenue for the same period grew to Rs 846.8 crore, up from Rs 739.1 crore in the prior year.

Despite this growth, the business operates in a highly competitive landscape. In the baby diaper segment, the company faces strong competition from established global brands such as Pampers and Huggies. Furthermore, profitability is sensitive to input costs. The manufacturing process relies on raw materials like wood pulp and super absorbent polymers, and fluctuations in these prices or foreign exchange rates can put pressure on profit margins. For investors, the ability of the company to protect its margins while scaling up production and managing competition will be a key factor to monitor.

The IPO process is being led by ICICI Securities, Motilal Oswal Investment Advisors, and SBI Capital Markets. The next major updates for investors will include observations from the market regulator, the finalization of the price band, and the announced timeline for the share subscription.
