KKR Unit Sells ₹371 Cr LEAP India Stake Before IPO

KKR-backed Vertical Holdings II has sold a 5.67% stake in LEAP India for ₹371.3 crore in a pre-IPO deal. The transaction, completed at ₹159 per share, saw interest from global investors including Singapore's GIC. The company’s ₹2,480 crore IPO is scheduled to open for subscription on August 7, 2026, with proceeds aimed at cutting down company debt.

Ahead of its public market debut, KKR-backed Vertical Holdings II has divested a 5.67% stake in LEAP India, a supply chain services firm. The transaction, valued at approximately ₹371.3 crore, was completed via share purchase agreements just one day before the IPO opens. The shares were transferred at ₹159 per share, which is the upper end of the price band set for the upcoming initial public offering (IPO).

The stake sale attracted significant attention from global institutional investors. Singapore's sovereign wealth fund GIC, through its investment arm Gamnat Pte, acquired shares worth ₹280 crore, making it the largest participant in this pre-IPO round. Dymon Asia Multi-Strategy Investment also participated, acquiring shares valued at ₹50 crore. This development is often viewed by market participants as a sign of institutional interest in the company's business model.

LEAP India’s IPO, which opens on August 7, 2026, and closes on August 11, aims to raise ₹2,480 crore. The structure of the offer includes a fresh issue of shares worth ₹480 crore and an offer for sale (OFS) of ₹2,000 crore by existing shareholders. For investors, the company's stated use of the fresh issue proceeds is a critical area of focus. LEAP India plans to utilize ₹360 crore of the funds to repay debt, which would significantly lower the company’s consolidated borrowings from the current level of approximately ₹1,023.2 crore down to ₹663 crore.

While the company has reported strong operating performance, with an EBITDA margin of 50.69% for the fiscal year ended March 31, 2026, investors typically evaluate several risks before participating in such offerings. A primary point for consideration is the company’s valuation; based on recent earnings, the IPO is priced at a price-to-earnings (P/E) multiple exceeding 100x. High valuations require the company to demonstrate consistent and rapid profit growth to justify the share price over the long term.

Additionally, the business model relies heavily on asset-pooling services, specifically pallet pooling. This creates a sector concentration risk, where the company’s financial health is tied closely to the demand trends in industries like FMCG, food and beverages, and e-commerce. Any slowdown in these sectors or changes in supply chain efficiency requirements could impact the company's growth.

Looking ahead, investors may track the subscription levels during the IPO period and the company's ability to execute its debt reduction plan. The success of the listing, tentatively scheduled for August 14, 2026, will depend on market sentiment and the company’s ability to sustain its margins amidst the competitive landscape of supply chain solutions.
