Fortis Healthcare Faces Legacy Audit Burden, Says InGovern

Proxy advisory firm InGovern notes that Fortis Healthcare continues to face reputational strain from a court-ordered audit into its former promoters. The current management, backed by IHH Healthcare, is not linked to the 2016 events under investigation.

Proxy advisory firm InGovern has stated that Fortis Healthcare is enduring unnecessary operational and reputational strain due to an ongoing court-ordered forensic audit. This audit concerns the actions of the company’s former promoters, Malvinder and Shivinder Singh, related to events that occurred in 2016.

The Delhi High Court, which mandated the forensic audit, has clarified that the exercise is primarily a fact-finding mission. It aims to reconstruct share movements and events from nearly a decade ago. Importantly, the court has not treated this investigation as an indictment of the current entity or its leadership team.

Since the departure of the Singh brothers in 2018, the hospital chain has undergone significant corporate restructuring. The current board was established with the support of IHH Healthcare, which provided a capital infusion of ₹4,000 crore. This investment was vital in preventing insolvency and maintaining hospital operations at the time.

InGovern’s assessment highlights a contrast between the current management's performance and the legacy issues they inherited. The company is actively working to recover approximately ₹400 crore that was allegedly siphoned from the hospital chain under the previous management. In effect, the firm is in the position of a victim attempting to recoup past losses, rather than being the perpetrator of the original financial misconduct.

While the company has confirmed it currently faces no direct monetary liability from the court proceedings, the ongoing legal scrutiny creates an administrative burden. For investors, the distinction between the legacy issues involving the former promoters and the current operational performance remains the key monitorable. While the brand continues to expand its healthcare capacity, the firm remains tied to these legal processes as it attempts to resolve the financial irregularities of the past.
