CKK Retail Mart Proposes 5:1 Bonus Issue, Sets EGM Date

CKK Retail Mart has announced a 5:1 bonus share issue to reward shareholders, alongside a plan to increase its authorized capital to Rs 117 crore. The proposal, which involves capitalizing reserves, will be put to a shareholder vote at an extraordinary general meeting on November 9, 2026.

Bonus Issue and Capital Restructuring

CKK Retail Mart has unveiled plans to restructure its equity base by proposing a 5:1 bonus issue. Under this plan, existing shareholders would receive five new fully paid-up equity shares for every single share currently held. The board of directors confirmed this proposal during their recent meeting, stating that the move is intended to reward shareholders by capitalizing the company’s reserves.

To facilitate this expansion, the company is seeking to increase its authorized share capital from Rs 20 crore to Rs 117 crore. This adjustment requires an amendment to the Capital Clause of the company's Memorandum of Association, a step that must be approved by the firm's shareholders. The initiative involves issuing approximately 9.684 crore new equity shares, which carry a combined face value of Rs 96.84 crore.

Financial and Operational Implications

Following the completion of this issuance, the company’s total paid-up equity share capital is projected to rise from Rs 19.368 crore to Rs 116.208 crore. Management indicated that the bonus issue will be funded by capitalizing balances from the securities premium account and accumulated retained earnings.

For investors, a bonus issue is a structural change that increases the number of shares and improves liquidity in the market. While it increases the share count, it does not change the company’s underlying business value or its cash flow position. The share price is typically adjusted downward in proportion to the bonus ratio on the record date, reflecting the increased supply of shares.

Next Steps for Shareholders

The formal proposals are scheduled to be presented for shareholder approval at an extraordinary general meeting on November 9, 2026. While the board has granted its initial consent, the final execution of the bonus issue remains subject to the consensus of the shareholders at this meeting. Once the EGM is concluded, the company is expected to finalize and announce a record date to determine shareholder eligibility. Investors should monitor future company filings for confirmation of the voting results and the specific record date set for the bonus allocation.
