Zetwerk Lists at 5% Premium Despite Muted IPO Demand

Zetwerk Manufacturing debuted at ₹159, a 5.3% premium over its ₹151 issue price. The listing defied lower expectations from the grey market, though the IPO faced a lukewarm response, particularly from retail investors. The company, which reported a loss of ₹1,606 crore in FY26, intends to use the ₹5,012 crore proceeds for debt reduction and operational expansion.

Zetwerk Manufacturing began its journey on Indian stock exchanges on Friday, opening at ₹159 on the Bombay Stock Exchange (BSE). This represents a 5.3% gain over the fixed issue price of ₹151. On the National Stock Exchange (NSE), the stock opened at ₹159.25, showing a similar premium. This modest gain was unexpected for many, as unofficial market indicators had suggested a much smaller rise of less than 1% ahead of the listing.

IPO Subscription and Investor Sentiment

The IPO, which was open for bidding from October 15 to October 19, saw a total subscription of 3.06 times. A key detail for investors is the difference in appetite across investor groups. Institutional buyers showed interest with 4.73 times coverage, providing the necessary support for the public issue. However, the retail segment, which represents individual investors, did not fully subscribe, reaching only 0.73 times. This lack of retail interest is often a point of caution for market participants when assessing future stock performance.

Financial Context and Business Model

Zetwerk operates as a technology-led manufacturing aggregator. It uses proprietary software to connect clients with third-party suppliers and internal manufacturing facilities. The company serves various sectors, including aerospace, defense, and renewable energy, counting entities like NTPC Renewable Energy and Indian Oil Corporation among its clients.

While the company highlights a rapid growth rate in its operational earnings (EBITDA), its bottom-line performance remains a critical area to watch. The company reported a consolidated loss of ₹1,606 crore for the financial year 2026. This highlights the current phase of the company where it is prioritizing expansion over profitability.

Use of IPO Funds and Future Outlook

The company raised ₹5,012 crore through the IPO, consisting of a fresh issue of shares worth ₹2,830 crore and an offer for sale worth ₹2,182 crore. Management has stated that the fresh capital is intended for specific purposes, including paying down debt, pursuing strategic acquisitions, and funding operational expansions.

Moving forward, the primary factor for investors will be the company's ability to turn its revenue growth into sustainable profits. With the retail subscription falling short of the target, market participants will be watching closely to see if the company can execute its business plan effectively and improve its financial health after listing.
