Vishal Nirmiti IPO Sees Muted Day 2 Response With 0.23x Subscription

Vishal Nirmiti’s Rs 178-crore IPO reached 0.23x subscription by day two, with retail interest remaining weak at 0.17x. Despite the slow start, the unofficial grey market premium hints at a potential 16% listing gain. The issue closes on October 5, 2026, with investors closely watching the firm's reliance on government-led infrastructure projects.

The initial public offering of Vishal Nirmiti is witnessing a sluggish start as the bidding window nears its midpoint. By the second day of the subscription period on October 1, 2026, the company saw an overall subscription rate of 0.23 times. Investors have placed bids for a fraction of the 8.47 million shares on offer, signaling a cautious approach from the market.

Subscription Trends and Grey Market Sentiment

Participation data reveals a variation in interest across investor groups. The retail category, which often drives momentum in smaller IPOs, recorded a subscription of 0.17 times. Non-institutional investors were slightly more active at 0.35 times, while the qualified institutional buyer category reached 0.96 times. Despite the moderate participation, the unofficial grey market is showing a premium of Rs 35 per share over the upper price band of Rs 220. This suggests a potential listing gain of approximately 16 percent, though market participants should note that these grey market figures are speculative and not an official indicator of actual listing performance.

Business Context and Financials

Vishal Nirmiti is raising Rs 178 crore through this IPO, which consists of a fresh issue of Rs 145 crore and an offer for sale of Rs 33 crore. The company reported a total income of Rs 344 crore in FY26, compared to its performance in previous years, with a profit after tax of Rs 25 crore. The business model is heavily geared toward infrastructure and construction supplies, with a notable reliance on government entities such as the Indian Railways and the Dedicated Freight Corridor Corporation of India (DFCCIL). This concentration creates both an opportunity for stable project inflows and a risk if government capital spending slows down or if project timelines are delayed.

Use of Funds and Risks

The company plans to use the majority of the fresh funds, Rs 75 crore, to meet its working capital requirements, while Rs 19 crore is earmarked for the repayment or prepayment of outstanding loans. Reducing this debt burden could help stabilize the company’s balance sheet, which showed a debt-to-equity ratio of 1.01 times in the latest fiscal year. However, investors monitoring the stock should consider the risks tied to its concentrated customer base and the general volatility of the infrastructure sector. Unpredictable plant utilization levels and the challenge of sustaining operating margins in a competitive construction environment remain key factors that could affect long-term profitability.

The subscription window for the Vishal Nirmiti IPO remains open until October 5, 2026. After the issue closes, the company is expected to finalize share allotment on October 6, with the stock slated for its market debut on October 8, 2026.
