Vertis Infrastructure Trust Plans ₹2,000 Crore IPO by 2027

Vertis Infrastructure Trust, backed by KKR and Ontario Teachers' Pension Plan, is preparing to transition into a public entity by April 2027. The firm plans to file for an initial public offering to offload a 13-14% stake, aiming to raise approximately ₹2,000 crore. The trust is focused on balancing its highway portfolio revenue through toll-based and annuity-based projects to support future cash distributions for unit holders.

Vertis Infrastructure Trust is moving toward a public listing, marking a strategic shift for the organization as it transitions from a private Infrastructure Investment Trust (InvIT) to a publicly traded one. The trust, supported by global investors KKR and the Ontario Teachers' Pension Plan, is planning to file its initial documents by December 2026. The objective is to achieve a public market debut by April 2027.

The proposed offering is structured as an offer for sale, where existing sponsors will sell between 13% and 14% of their units. This transaction is estimated to be valued at approximately ₹2,000 crore. While the trust has already shortlisted banking partners including Ambit Capital, Avendus Capital, Axis Capital, and SBI Capital Markets to manage the process, the final terms and exact timeline remain subject to negotiation and market conditions.

At the end of fiscal year 2026, Vertis Infrastructure Trust managed a network of 8,428 lane kilometers of highways spread across nine Indian states. The total value of these assets is estimated at over ₹27,000 crore, while the trust itself is valued at ₹17,515 crore. For investors, the appeal of an InvIT typically lies in its ability to distribute cash to unit holders, often generated from the operational income of infrastructure projects.

The trust maintains a hybrid revenue model to manage its cash flow. It combines Toll projects, where revenue depends on traffic volume, with Hybrid Annuity Model (HAM) projects, which offer fixed payments from the government. During fiscal year 2026, the trust reported total revenue of ₹4,005 crore and net distributable cash flows of ₹1,869 crore. This performance led to a distribution of ₹12 per unit to its holders.

While the public listing is designed to increase liquidity for investors and provide a broader capital base for the trust, infrastructure projects carry specific inherent risks. These include the sensitivity of traffic projections for toll roads, which can be affected by economic cycles or local factors, and the reliance on government policy and timely payments for annuity-based assets. Additionally, infrastructure assets are often sensitive to interest rate changes, which can influence both the cost of debt and the valuation of the trust in the public market.

The move to a public listing is intended to allow the sponsors to partially monetize their holdings while providing retail and institutional investors with a transparent vehicle for participating in infrastructure assets. The next key event for investors to track will be the official filing of the draft prospectus, which will provide further clarity on the final size of the offer and the detailed financial health of the trust as it heads toward a public market entry.
