Varmora Granito Raises ₹212 Crore From Anchor Investors Ahead of IPO

Varmora Granito has secured ₹212.4 crore from 17 institutional investors, including Goldman Sachs and ICICI Prudential, ahead of its IPO opening on September 22. The company allotted shares at the upper price band of ₹148. The funds will be used to pay off debts and obligations of subsidiaries like Covertek Ceramica and Varmora Sanitarywares, as the firm adjusts its total offer size.

Varmora Granito, a tile manufacturer based in Rajkot, has successfully completed its anchor book allocation, raising ₹212.4 crore ahead of its public issue. The company allotted 1.43 crore equity shares to 17 institutional investors at the upper price band of ₹148 per share. This round saw participation from both domestic and international funds, including Goldman Sachs, ICICI Prudential Mutual Fund, Bandhan Mutual Fund, Motilal Oswal Mutual Fund, and Societe Generale.

Changes to IPO Structure

Ahead of the public subscription opening on September 22, the company has recalibrated the structure of its initial public offering. The fresh issue component, which provides capital directly to the company, has been reduced to ₹320 crore from the earlier target of ₹400 crore. Additionally, the Offer for Sale (OFS) has been trimmed to 2.62 crore shares, down from 5.24 crore. Katsura Investments remains the primary selling shareholder in this process. These adjustments reflect a change in the company's immediate capital needs and ownership dilution plans.

Debt Reduction Focus

The primary objective for the proceeds from the fresh issue is the repayment of debt. Varmora Granito aims to settle existing obligations across key subsidiaries, such as Covertek Ceramica, Varmora Sanitarywares, and Simola Tiles. By cleaning up the balance sheet, the company expects to improve its financial position before its projected market debut on September 29. Investors typically watch such deleveraging moves closely, as reducing debt can improve cash flow and long-term financial stability.

Industry and Operational Context

Operating in the ceramics and tiles sector, Varmora Granito produces glazed and polished vitrified tiles for both residential and commercial infrastructure. The building materials sector is often tied to real estate demand and construction activity, which are cyclical.
