Torrent Gas, the city gas distribution arm of the Torrent Group, is preparing to file updated IPO documents this week. The offering is expected to be a 100% Offer for Sale, where existing shareholders will sell their stakes. This move signals continued activity in the Indian primary market.
Torrent Gas is moving ahead with its initial public offering (IPO) plans. The energy company, which operates under the Torrent Group, is reportedly preparing to submit updated draft red herring prospectus (DRHP) papers to the Securities and Exchange Board of India (SEBI) as early as this week.
The proposed offering aims to raise up to 40 billion rupees, approximately ₹4,000 crore. Investors should note that the IPO is structured entirely as an Offer for Sale (OFS). In an OFS, existing shareholders sell their stake to the public, meaning the company itself will not receive fresh capital through this issue to fund its infrastructure expansion or debt repayment.
Torrent Gas is a significant player in the city gas distribution sector. It operates a network supplying compressed natural gas (CNG) and piped natural gas (PNG) across 34 districts in seven Indian states and one union territory. Its customer base includes hundreds of thousands of households and over a thousand industrial clients.
The company has already cleared a key regulatory hurdle. It received approval for the IPO from SEBI in June 2026, following a confidential pre-filing submitted in March. This confidential filing process allows companies to undergo preliminary regulatory reviews before making public disclosures.
The upcoming filing comes during a period where India's primary market is seeing increased activity. While market sentiment often shifts based on macroeconomic factors like crude oil prices and geopolitical conditions, a rise in new listings suggests that companies are looking to capitalize on favorable conditions.
For potential investors, the updated DRHP will be a critical document. It will disclose the company's current financial performance, specific risk factors related to the city gas business—such as natural gas price volatility and regulatory changes—and the identities of the shareholders selling their stakes. Because this is an OFS, the company’s capital structure will not change directly as a result of the IPO proceeds, unlike a fresh issue which brings in new funding.
Market participants will be tracking the filing for details on the selling shareholders and updated financial health metrics. The timeline for the launch and the final pricing will be determined following the filing and subsequent regulatory processes.
