Torrent Gas Files Updated DRHP for ₹4,000 Crore IPO

Torrent Gas has filed updated papers for a ₹4,000 crore IPO, which will be entirely an offer for sale by its parent company. The city gas distribution firm reported a strong profit increase for the last fiscal year. Since this is an existing share sale, the company will not receive any fresh funds from the public offering.

Torrent Gas, part of the Ahmedabad-based Torrent Group, has submitted updated draft papers for its initial public offering. The company aims to raise 40 billion rupees through this market entry. This filing follows the confidential regulatory approval the firm received earlier in June 2026.

IPO Structure and Ownership

Investors should note that the IPO is structured as a 100% offer-for-sale. This means that the parent firm, Torrent Investments, is selling its existing shares. The company itself will not issue new equity or raise fresh capital to fund its business expansion or operations through this public offering. All proceeds from the sale will go to the selling shareholder.

Business and Financials

Torrent Gas operates in the city gas distribution sector, providing compressed natural gas (CNG) and piped natural gas (PNG) to customers. Its infrastructure footprint spans 34 districts across seven states and one union territory in India. The sector typically requires heavy investment in pipelines and distribution networks to reach new consumers.

For the fiscal year ending March 31, the company reported a net profit of 2.81 billion rupees, reflecting a 108% increase compared to the previous year. Revenue for the same period reached 59.33 billion rupees, marking a 35% growth. This financial performance highlights the company's scale-up in a competitive industry.

Competitive Landscape and Risks

The city gas distribution space is home to established players like Adani Total Gas, Indraprastha Gas, and Mahanagar Gas. As a competitor in this space, Torrent Gas faces a set of challenges common to the sector. The business is heavily dependent on government-granted licenses and authorizations to operate in specific geographical areas. Any changes in government policy regarding gas allocation or pricing can directly impact operations.

Furthermore, the company is exposed to the volatility of global natural gas and crude oil prices. Since gas procurement is a major cost, any sharp rise in import costs could place pressure on profit margins. The business also carries execution risks, as building out gas infrastructure involves significant capital spending and timelines that can be affected by local regulatory approvals.

The offering process is being managed by a syndicate of investment banks, including Axis Capital, Citigroup, and Kotak Mahindra Capital. Moving forward, the key items for investors to track will be the final offer details, including price bands and the official timeline for the issue, which will be disclosed in subsequent filings as the process continues toward the public launch.
