Punjab Carbonic Gets SEBI Nod for 95 Lakh Share IPO

Punjab Carbonic has received regulatory clearance from SEBI for its initial public offering, which includes 60 lakh new shares and an offer-for-sale of 35 lakh shares. The company plans to use the proceeds for expanding its CO2 recovery units and ethanol production capacity. Investors will now focus on the upcoming price discovery and public launch schedule.

SEBI Approval and IPO Structure

Punjab Carbonic has officially received observations from the Securities and Exchange Board of India to proceed with its upcoming initial public offering. This clearance paves the way for the company to launch its share sale within the next twelve months. The offering is structured as a mix of a fresh issuance and an offer-for-sale. The total issue consists of 95 lakh equity shares, with 60 lakh shares being a fresh issue and 35 lakh shares offered by existing promoters. Beeline Capital Advisors has been appointed as the merchant banker to manage the transaction process.

Capital Allocation and Growth Plans

The company, which has been in operation since 1992, intends to channel the fresh capital into two primary areas: capacity expansion and strengthening its balance sheet. A significant allocation of Rs 19.66 crore is earmarked for setting up two new carbon dioxide recovery units in Nellore and Peddapuram, Andhra Pradesh. These units are expected to add a combined processing capacity of 210 metric tonnes per day.

In addition to the core CO2 business, the company is investing Rs 40.61 crore into its ethanol subsidiary, Pancarbo Greenfuels. This funding is aimed at scaling up production at the distillery in Lehri, Punjab, by 35 kilolitres per day. The synergy between ethanol and CO2 production is a key aspect of this expansion, as CO2 is often a byproduct of the fermentation process in distilleries. By integrating these units, the company aims to optimize production efficiency. Furthermore, Rs 11.15 crore has been set aside for the procurement of specialized tankers to upgrade the company’s logistics network, while the remaining proceeds are designated for debt retirement and general corporate purposes.

Business Model and Investor Monitorables

Punjab Carbonic functions through a mix of direct production and recovery infrastructure for third-party facilities, currently managing 17 units across the country. The company serves diverse sectors, including aviation, pharmaceuticals, and food and beverage, which provides a level of demand stability. However, the business model is inherently tied to the availability of raw material sources from other distilleries and industrial plants. The effectiveness of the new capacity, particularly the ethanol plant in Lehri, will depend on consistent supply chains and operational efficiency.

For investors, the primary monitorables moving forward will include the final pricing, the timeline for the share sale, and the company's progress on reducing its debt levels. As the firm executes its expansion, the ability to maintain profit margins while managing the capital intensity of the new projects will be a key factor in its long-term financial performance.
