Paramotor Digital Technology Files Rs 1,000 Cr IPO UDRHP

Mumbai-based fintech Paramotor Digital Technology has filed its updated prospectus for a Rs 1,000 crore IPO. The plan includes a Rs 698 crore fresh capital raise for business expansion and a Rs 302 crore offer for sale. Investors are evaluating the firm's growth trajectory following its Rs 59.1 crore profit in fiscal year 2026.

Mumbai-based fintech company Paramotor Digital Technology has moved closer to a public market debut by filing its updated draft red herring prospectus (UDRHP) with market regulator SEBI. The company aims to raise a total of Rs 1,000 crore, which will be split into two components. The primary portion involves a fresh issue of equity shares worth Rs 698 crore, while the remaining Rs 302 crore will be an offer for sale (OFS) by existing promoters Sonia Pankaj Asher and Rahul Anand.

Business Model and Financials

Paramotor operates across several segments in the fintech and software space. Its portfolio includes digital gifting through the yayyy.shop platform, spend management services via SpendPro, and loyalty programs under the RewardOn brand. Additionally, the company provides enterprise technology solutions through its DevStack division. This multi-product approach has supported its financial performance. For the fiscal year ending March 2026, the company reported a consolidated profit of Rs 59.1 crore on revenue of Rs 603.1 crore. The momentum appears to have continued into the current fiscal year, with the company posting a profit of Rs 23.8 crore on revenue of Rs 252.7 crore for the quarter ended June 2026.

Strategy for Capital Use

The company intends to use the proceeds from the fresh issue to fund its next phase of growth. A significant allocation of Rs 355 crore is planned for customer acquisition, retention, and brand promotion. This highlights the company's aggressive focus on expanding its user base. Furthermore, the firm has earmarked Rs 94 crore for technology development, including cloud infrastructure and IT assets, alongside Rs 38 crore for upgrading its office infrastructure. The company may also consider a pre-IPO placement of up to Rs 139.6 crore, which would effectively reduce the fresh issue size if it proceeds.

Risks and Market Context

Investors looking at the fintech sector generally keep a close watch on several structural risks. The industry is highly competitive, with numerous established players and startups vying for market share, which can lead to pricing pressure and high costs for acquiring customers. Additionally, fintech firms are subject to frequent regulatory changes and evolving compliance standards in digital payments and data privacy.

Another point for shareholders to consider is the impact of aggressive growth strategies. While spending heavily on customer acquisition is intended to drive revenue, it can sometimes put short-term pressure on profit margins. The company’s ability to scale its platforms effectively while managing these operating expenses will be a primary monitorable. The IPO process is being managed by Motilal Oswal Investment Advisors and Equirus Capital, and market participants will now track the official price band and subscription dates in upcoming regulatory updates.
