AI infrastructure firm Nscale has appointed former OpenAI and Instacart executive Fidji Simo to its board of directors. This move comes as the private company eyes a potential IPO and seeks $3.5 billion in fresh funding. Investors should note the significant gap between the company’s reported long-term contract backlog and its current revenue run-rate.

Nscale, a London-based company focused on building data centers for artificial intelligence, has added former OpenAI and Instacart executive Fidji Simo to its board of directors. This appointment occurs as the private firm accelerates its preparations for a potential IPO, which is expected to take place later this year.

Simo brings significant experience in public market operations, notably leading Instacart through its 2023 IPO. She joins a board that already includes prominent technology veterans like Sheryl Sandberg, Susan Decker, and Nick Clegg. Her role is expected to provide the strategic governance required as Nscale attempts to transition from a private startup to a publicly listed entity.

Funding and Expansion Plans

The company is currently in negotiations to raise approximately $3.5 billion in pre-IPO financing. Reports indicate that Third Point is expected to lead a $1.5 billion investment through convertible notes, while Nvidia may contribute up to $2 billion. This capital is crucial for Nscale’s business model, which requires massive upfront spending to construct and equip data centers with the advanced hardware needed to power AI workloads.

For investors, it is important to distinguish between the company’s total contract value and its actual earnings. Nscale has stated it has a contracted revenue backlog of roughly $103 billion. However, this figure represents future payment commitments spread over an average of 5.7 years, rather than immediate income. The company’s actual annualized revenue run-rate is estimated to be between $400 million and $500 million. This difference is a vital metric for assessing the company's current financial reality versus its ambitious long-term projections.

Operational and Financial Risks

The AI infrastructure sector is highly capital-intensive, and Nscale faces significant challenges in executing its expansion. The company must manage the complex logistics of building data centers on time, securing power, and managing cooling requirements for massive GPU deployments.

There is also a material concentration risk. Nscale relies on a small number of major customers and strategic partners, such as Nvidia, Anthropic, and Microsoft. If these key players alter their infrastructure strategies or reduce their spending, Nscale’s business could face immediate pressure. Additionally, the company’s heavy reliance on debt and equity financing to fund construction means that if the utilization of its data centers does not meet expectations, the firm may face financial strain.

As the company moves toward a potential public listing, the next critical update will be the official IPO prospectus. Investors will need to look for audited financial statements to verify the company's true profitability and cash flow.
