The National Stock Exchange of India has opened its ₹22,562-crore IPO, with subscriptions running until September 21, 2026. While the exchange commands a dominant share of India’s equity and derivatives trading, investors are scrutinizing its heavy revenue reliance on options trading and the potential impact of recent regulatory measures on volume growth.

The National Stock Exchange of India (NSE) officially launched its initial public offering on September 17, 2026, marking a significant event for the Indian capital markets. The IPO is priced between ₹1,700 and ₹1,785 per share. The issue size is ₹22,562 crore, and the subscription window is set to close on September 21, 2026. Shares are tentatively scheduled to list on the BSE on September 24, 2026.

It is important for investors to note that this IPO is a 100% Offer for Sale (OFS). This means that all the money raised will go to existing shareholders who are selling their stakes, rather than to the exchange itself for business expansion or new capital projects.

The Scale of India's Largest Exchange

The investment case for the NSE centers on its position as the largest stock exchange in India by turnover in both cash and equity-derivatives markets. Through years of operations, the exchange has built a strong network effect. High trading volumes attract more participants, which in turn improves liquidity and lowers the cost of executing trades. This cycle is a primary business advantage, making it difficult for competitors to gain significant market share in the core segments.

Globally, the exchange holds a substantial presence. Data from the World Federation of Exchanges indicates that the NSE accounted for a large portion of global cash-equity trades and equity-derivative contracts in the previous fiscal year. This scale provides the exchange with significant operating leverage.

Revenue and Regulatory Sensitivity

While the business is highly profitable, the revenue structure is concentrated. Exchange filings show that approximately 79% of operating revenue in FY26 was derived from transaction charges. Within this segment, equity options—and specifically weekly options—contribute the majority of the income.

This concentration creates a specific risk profile. The Securities and Exchange Board of India (SEBI) has been actively introducing measures to manage excessive volatility and curb speculative trading in the derivatives market. These regulatory steps, which include new margin requirements and changes to product structures, can directly impact trading volumes. Investors are closely monitoring how these policies might affect the exchange's ability to maintain the high transaction volumes seen in previous years, as any decline in activity directly impacts the top line.

Valuation and Market Context

At the upper end of the price band, the NSE is valued at approximately ₹4.42 lakh crore. Based on its FY26 earnings, the exchange trades at a price-to-earnings (P/E) multiple of roughly 43 times. For comparison, this valuation sits below the multiples often cited for BSE but is generally higher than the historical trailing earnings range of several major global exchange groups. The final valuation decision rests on an investor's view of the company’s ability to sustain growth in a tighter regulatory environment.

The long-term outlook for the exchange remains tied to the deeper financialisation of household savings in India. As more individuals move their capital into financial assets and participation in the market expands, the addressable opportunity for the exchange grows. However, the immediate monitorables for investors will be the sustainability of derivatives volumes, the impact of ongoing regulatory changes on transaction revenue, and the exchange’s ability to defend its market share against competitors in the options space.
