Matangi Rubber, a Delhi-based manufacturer, has received observations from the Securities and Exchange Board of India (SEBI) to proceed with its initial public offering (IPO). The company, which specializes in rubber products for the automotive industry, is preparing to tap the primary market as it looks to strengthen its balance sheet and expand its manufacturing footprint. With this clearance received on September 28, 2026, the company has a 12-month window to finalize and launch its public issue.

IPO Structure and Financials

The public issue is designed as a combination of a fresh share issuance and an offer-for-sale (OFS). The fresh issue consists of 57.61 lakh shares, which will bring new capital into the company, while the OFS of 15.15 lakh shares will allow existing shareholders to sell a portion of their holdings. Sarthi Capital Advisors has been appointed as the sole merchant banker to manage the transaction. Financially, the company has shown consistent operations. For the nine-month period ending December 2025, it reported a consolidated profit of ₹16.42 crore on revenue of ₹86.64 crore. This follows a profitable fiscal year 2025, where the firm earned ₹19.66 crore on revenues of ₹101.3 crore.

Strategy for Expansion and Debt Reduction

A primary goal of this IPO is financial restructuring. The company has earmarked ₹45 crore from the fresh issue proceeds to pay off existing debt. Reducing borrowings is a key strategy for mid-sized manufacturing firms to lower interest expenses and improve bottom-line profitability. Beyond debt repayment, the firm is also focused on growth through capacity expansion. It has allocated ₹19.05 crore to set up a greenfield facility for rubber recycling products, tapping into the growing industrial interest in sustainable manufacturing. Additionally, ₹8.43 crore has been budgeted for a new solid tyre production unit in Bhind, Madhya Pradesh.

Matangi Rubber operates in the automotive ancillary space, supplying products such as tyre flaps, tubes, and rubber compounds.
