Jio Platforms Gets SEBI Nod for ₹37,700 Crore IPO

Jio Platforms has received market regulator SEBI's approval for its initial public offering, which is set to be the largest in India's history. The ₹37,700 crore issue is a 100% fresh offering, primarily aimed at paying off debt at its subsidiary, Reliance Jio Infocomm. With no existing investors selling their stakes, the company is focusing on strengthening its balance sheet for future operations.

Jio Platforms, the digital and telecom arm of Reliance Industries, has received the official observation letter from the Securities and Exchange Board of India (SEBI). This regulatory approval clears the path for the company to launch what is expected to be India's largest initial public offering (IPO) to date. The company now has a 12-month window to execute this public listing, with the timing largely depending on overall market conditions and investor sentiment.

The proposed IPO is valued at approximately ₹37,700 crore. A key feature of this offering is that it is a 100% fresh issue of up to 27 crore new equity shares. This means the company is raising capital directly for its own use, rather than existing shareholders selling their current holdings. Major backers, including Reliance Industries, Meta, and Google, are not participating in an offer-for-sale, signaling that these long-term investors are maintaining their current positions in the company.

Financial details disclosed as part of the filing show a strong operational performance for the fiscal year 2026. Jio Platforms reported total annual revenue of ₹1.47 lakh crore. The company also demonstrated efficient profitability, posting an EBITDA (earnings before interest, tax, depreciation, and amortization) of ₹76,255 crore, which translates to a strong operating margin of 51.9%. This financial strength supports the company's growth narrative as it approaches the public market.

The primary purpose of this capital raise is to improve the balance sheet of the group's telecom unit, Reliance Jio Infocomm. Specifically, the company plans to use ₹27,500 crore from the proceeds to repay or prepay existing borrowings. By reducing this debt, the company aims to lower its interest expenses, which could improve its long-term financial flexibility and bottom line. The remaining portion of the funds raised will be used for general corporate purposes, including supporting future infrastructure projects.

Following the announcement, shares of parent company Reliance Industries have seen minor fluctuations, trading near ₹1,288. For investors, the next steps to monitor will be the company’s decision on the specific launch date and the final price band determined during the book-building process. While the regulatory hurdle is cleared, the ultimate success of the IPO will depend on whether market demand can support this large-scale issuance. As with any major public offer, potential investors will likely be tracking the company’s ability to execute its debt-reduction strategy while maintaining its subscriber growth and service momentum.
