Investors are now looking at the company’s roadmap for deploying capital into AI agent development and its competitive positioning.
ReCode Solutions Inc., the primary promoter of enterprise technology firm Intellius Recode, has divested a 5.43% stake in the company through a pre-IPO secondary share sale. The transaction involved the transfer of 5.43 lakh equity shares to seven investors at a price of Rs 331 per share. This deal values the company at approximately Rs 480 crore, providing a market-derived benchmark valuation as the firm prepares for its stock market debut.
Wealthwave Capital Trust, which is backed by Choice International, was the lead investor in this round, acquiring 1.81 lakh shares for Rs 6 crore. Other notable participants included Vanaja Iyer and Siddharth Iyer, along with investors such as Nishant Aggarwal, Pranav Naresh Chheda, and Varsha Jitesh Jain, who absorbed the remaining shares.
IPO and Capital Roadmap
Intellius Recode is currently advancing its public listing plans. The company filed its draft offer document with the Securities and Exchange Board of India (SEBI) in March 2026 and received regulatory clearance in July 2026. The upcoming public offer is structured to include a fresh equity issue of Rs 117 crore and an offer for sale of 12.9 lakh shares held by the promoter.
The capital raised from the fresh issue is primarily intended to support the company’s shift toward agentic artificial intelligence. Specifically, the firm has earmarked Rs 43.1 crore for the development of digital workers, which are autonomous, context-aware software agents designed for corporate use. Additionally, Rs 38.4 crore has been allocated to cover subcontracting fees related to these research and development initiatives. Inga Ventures has been appointed as the merchant banker to manage the IPO process.
Business Context and Monitoring
Founded in 2018 by Prasanna Srinivasan Ramaswamy and Sivathanupillai Adhikesaven Nadarajapillai, Intellius Recode operates in the enterprise technology consulting space. The company’s business model depends heavily on its ability to innovate in the AI sector, which requires significant and consistent spending on specialized talent and technology infrastructure.
For investors, the key monitorables following this pre-IPO transaction include the final timeline for the public issue and how the company manages the execution risks associated with its AI-driven product strategy. As the company moves toward the public offer, market participants will likely assess the demand for its agentic AI solutions and whether the firm can maintain its growth trajectory while managing the high costs linked to R&D and subcontracting.
