Hero Motors is currently moving forward with its capital-raising plans, having previously secured regulatory clearance for an initial public offering (IPO). As of August 29, 2026, the official status of the offering stands at the Rs 1,200 crore size approved by the Securities and Exchange Board of India (SEBI) on September 12, 2025. While recent market discussions have indicated that the company may be considering a revision to this size, narrowing it to Rs 1,000 crore, these changes are not yet reflected in official stock exchange filings or regulatory documents.

The approved IPO structure consists of a fresh issue of Rs 800 crore and an offer-for-sale (OFS) component of Rs 400 crore. The primary objective behind the fresh issue is to strengthen the company’s balance sheet and fuel operational growth. A significant portion of these proceeds, approximately Rs 285 crore, is earmarked for the repayment of existing debt. Another Rs 237 crore is planned for capacity expansion at the company’s manufacturing facility in Gautam Buddha Nagar, Uttar Pradesh. The remaining capital is intended for general corporate purposes and potential inorganic growth initiatives, such as strategic acquisitions.

The journey toward this public offering has seen several adjustments. In August 2024, the company had filed for a Rs 900 crore IPO but subsequently withdrew those papers in October 2024. Following the withdrawal, the company refiled for the larger Rs 1,200 crore offering, which eventually received SEBI’s nod in 2025. This history of adjustments reflects the company's efforts to align its capital raising with market conditions and business requirements.

Investors considering the upcoming offering should be aware of the company's financial and operational profile. For the financial year 2024, the company reported a notable decline of approximately 67% in net profit, despite a modest increase in revenue. This performance variance highlights the impact of operational costs and market volatility. Furthermore, the reliance on an IPO to reduce debt underscores the current leverage on the balance sheet. Successful execution of the planned capacity expansion and the ability to maintain profitability amid competitive pressures will be critical for long-term growth.
