HD Fire Protect IPO Opens Oct 13: 100% OFS Strategy Explained

Mumbai-based fire safety equipment maker HD Fire Protect will open its IPO on October 13, 2026, aiming to raise roughly ₹700–750 crore. The issue is a 100% offer-for-sale, meaning the company will not receive fresh capital for expansion. Investors should note the company’s heavy reliance on cyclical industries like oil and gas, as well as its significant exposure to international export markets.

HD Fire Protect is scheduled to launch its initial public offering (IPO) on October 13, 2026. The bidding process will close on October 15, with the stock expected to debut on the NSE and BSE by October 21. The offering is a pure offer-for-sale (OFS), involving the sale of approximately 2.62 crore equity shares held by promoters Harish Narshi Dharamshi and Kusum Harish Dharamshi. Because this structure directs proceeds entirely to the selling shareholders, the company will not receive any funds from this public issue to support its operations or reduce debt.

Financial Performance and Business Reach

The company manufactures a range of fire suppression systems, including water, foam, and gas-based solutions, from its two facilities in Maharashtra. Financial disclosures show consistent growth for the organization. In the fiscal year ended March 2026, HD Fire Protect reported a revenue of ₹505.12 crore, representing a 12 percent growth compared to the previous year, with a profit after tax of ₹116.79 crore. Recent quarterly results for the period ended June 2026 indicate revenue of ₹114.07 crore and a profit of ₹23.87 crore.

Strategy and Operational Risks

Investors looking at this IPO should consider the company's business model, which depends significantly on high-hazard industries such as oil, gas, petrochemicals, and defense. This concentration makes the company’s revenue sensitive to cyclical industrial spending cycles. When these industries reduce their capital expenditure, demand for fire safety equipment can fluctuate accordingly.

Furthermore, the company has a notable footprint in international markets, with approximately 36 percent of its revenue derived from exports. While this indicates a global reach, it also exposes the business to risks associated with international trade dynamics, currency fluctuations, and varying demand levels in foreign markets. As a manufacturer of safety-critical equipment, the firm operates in an environment governed by strict global and domestic safety standards. This means the business relies heavily on its ability to maintain technical approvals and certifications. Any change in these regulatory requirements could impact its ability to compete or sell products in specific markets.

What Investors Should Monitor

The primary monitorable for this IPO is the company’s valuation relative to its growth prospects, especially given that the proceeds from the issue will not be reinvested into the business. Potential investors may want to examine how the company plans to sustain its growth trajectory without fresh capital infusion and whether its order book can support long-term revenue targets. Future updates on management strategy regarding capacity expansion or debt management will also be relevant, as the company navigates its post-listing journey.
