HD Fire Protect IPO: Anchor Book Secures Rs 213 Crore

HD Fire Protect has raised Rs 213.11 crore from 16 anchor investors ahead of its Rs 712.31 crore IPO. The subscription window opens on October 13, 2026, with shares priced at Rs 258–Rs 271. Investors should note that the issue is a 100% offer-for-sale, meaning no fresh funds will be utilized for business expansion.

HD Fire Protect, a manufacturer of fire suppression systems, has successfully raised Rs 213.11 crore from 16 institutional investors through its anchor book ahead of its upcoming initial public offering. The company allocated 78.64 lakh shares at the upper price band of Rs 271 per share. Key domestic participants included major mutual funds such as SBI Mutual Fund, HDFC Asset Management Company, and ICICI Prudential Asset Management Company, alongside insurance firms like Bajaj Life Insurance and Axis Max Life Insurance.

The public subscription phase for the total Rs 712.31 crore IPO is scheduled to begin on October 13 and will remain open until October 15, 2026. The price band for the shares has been set between Rs 258 and Rs 271.

Understanding the IPO Structure

It is important for investors to note that this IPO is a 100% offer-for-sale (OFS). This means all the shares being sold belong to the existing promoters, Harish Narshi Dharamshi and Kusum Dharamshi. Because the company itself is not issuing new shares, it will not receive any capital from this public offering to fund new projects or pay down debt. Investors looking for companies that are raising money specifically for expansion or to strengthen their balance sheet may want to keep this structural detail in mind.

Financial Context and Performance

HD Fire Protect specializes in water, foam, and gas-based fire suppression systems. For the financial year ending March 2026, the company reported a net profit of Rs 116.79 crore on revenue of Rs 489.28 crore. While the business has shown stable financial performance, its growth model is heavily tied to the specific demands of the fire safety sector.

Operational Risks to Monitor

While the company has established a market presence, several business-specific risks are worth tracking. A primary operational risk is the geographic concentration of its manufacturing facilities, which are primarily located in Maharashtra. Any localized disruption in this region could impact the company’s ability to meet delivery timelines.

Furthermore, the company operates in a sector that requires strict adherence to international safety certifications, such as those from UL and FM. Maintaining these certifications is essential for business continuity; any failure to renew or comply with these global standards could restrict its market access. Additionally, the company does not typically enter into long-term supply contracts with all customers, leading to a degree of revenue unpredictability. Investors may also want to monitor the volatility in raw material prices, as the company may not always have long-term agreements in place to protect against sudden cost increases.

The final listing of the stock is tentatively planned for October 21, 2026. The next steps for investors will be to track the subscription figures from retail and institutional categories during the three-day window to gauge market sentiment ahead of the listing.
