The IPO is structured entirely as a fresh issue of shares, meaning the company will raise new capital rather than existing shareholders selling their stakes. According to the company's plans, ₹1,100 crore is designated for the acquisition of 14 operational K-12 school assets from entities linked to the promoters. Another ₹750 crore of the proceeds will be used to pay down existing debt. By reducing its borrowings, the company aims to improve its financial flexibility and lower interest costs. The remaining capital is expected to support general corporate purposes and further expansion of its education-linked real estate platform.

Elevate Campuses currently manages 66,272 beds, positioning it as one of India's largest operators in the student accommodation space. The business model centers on purpose-built student accommodation (PBSA), a sector that remains largely unorganized in India. While there are over 43 million students in higher education, currently less than 0.5 percent are served by professionally managed housing. This is significantly lower than penetration rates in the United Kingdom and the United States, where organized student housing accounts for roughly 13 to 19 percent of the market.
