ESDS Software Solution is set to open its initial public offering (IPO) on August 28, 2026, with the subscription window closing on September 1. The company, which specializes in IT infrastructure, cloud services, and AI-based computing, plans to raise ₹720 crore through a fresh issue of shares. There is no offer-for-sale component, meaning all the money raised will go directly into the company’s business operations.

The shares are priced in the band of ₹408 to ₹429 each. The company intends to use the majority of these funds—specifically ₹576 crore—to expand its data center equipment and overall infrastructure. This expansion will focus on facilities located in Airoli, Bengaluru, Mohali, and Nashik, helping the company meet the growing demand for local cloud hosting and AI-computing services.

Financial Performance and Market Position

The company has reported a notable improvement in its financial health heading into the IPO. After experiencing losses in the previous years, ESDS reported a net profit of ₹120.82 crore for the financial year 2026. This turnaround comes alongside an improvement in operating margins, which reached nearly 50 percent in FY26. Such growth is often watched closely by investors, as it reflects the company’s ability to manage its fixed costs better as the business scales.

In the competitive landscape of cloud and data center services, ESDS positions itself alongside players like E2E Networks. While the company provides a mix of cloud services, managed services, and AI-computing, its valuation will be a key point of discussion. At the current price band, the stock is valued at approximately 41.6 times its FY26 earnings. Investors often compare these figures against industry peers to determine whether the valuation aligns with the company’s growth prospects and profit stability.

Business Risks and Monitorables

While the company’s growth plan is clear, there are specific risks that potential investors should keep in mind. A significant part of the revenue comes from a small group of clients; the top 10 customers accounted for over 45 percent of the company’s total revenue in FY26. This concentration means that the loss of any single major client could impact the company’s financial stability. Additionally, the company remains significantly dependent on government and public sector unit (PSU) contracts, which adds another layer of dependency.

Execution is another critical factor. Moving from a plan to fully operational data centers involves the risk of delays or higher-than-expected costs. As the company competes in a space dominated by both large global cloud providers and specialized domestic firms, the ability to maintain pricing power and keep technology updated is essential. If the company fails to maintain its current utilization levels or margin efficiency, it could affect long-term returns. The next major update for shareholders will be the listing date, which is tentatively scheduled for September 4, 2026.
