Used-car marketplace Cars24 plans to submit its draft IPO papers by April 2027 following its relocation from Singapore to India. The firm, last valued at $3.3 billion, intends to use the capital to scale its presence from 25 to 200 cities. Investors will watch how the company maintains its current cash position while navigating the competitive Indian used-car market.

Cars24, the digital platform for used-car transactions, is moving to list on Indian stock exchanges. The company is currently completing a legal process known as a "reverse flip," which involves moving its corporate domicile from Singapore back to India. According to the company, it expects to submit its Draft Red Herring Prospectus (DRHP) to the Securities and Exchange Board of India (SEBI) by April 2027. This shift follows a trend among Indian startups that are moving their headquarters back home to simplify tax compliance and appeal to domestic investors.

Scaling Plans and Capital Use

The company was last valued at $3.3 billion during its 2022 funding round. Management stated that they have not raised external capital since that time and claim the business is not currently burning cash. However, the company has announced plans to expand significantly, aiming to grow from its current operations in 25 cities to 200 cities. It also plans to scale its international footprint in the Gulf region and Australia. While the company claims it is not burning cash, expanding into 175 additional cities is a capital-intensive process that will be a key point for investors to monitor once the DRHP reveals the actual financial state of the business.

Sector Challenges and Competition

Investors looking at this potential IPO must consider the nature of the Indian used-car market. While it is a high-growth sector, it is also highly fragmented and competitive. Cars24 faces competition from other well-funded platforms such as CarDekho and Spinny. The sector has also seen consolidation and exits; for example, OLX Autos previously shut down its Indian operations in 2023, highlighting the difficulties in managing high customer acquisition costs and inventory risk in the used-car trade. The success of Cars24 will likely depend on its ability to maintain profit margins while increasing its scale, especially as it moves into smaller markets where competition and pricing dynamics may differ from metropolitan areas.

Governance and Market Credibility

Beyond raising money, the company views a public listing as a way to enhance its governance standards. Moving to a publicly traded status provides a level of institutional transparency that can help build trust with customers and partners. The legal transition from Singapore to India is expected to take six to nine months, and the company has already received the necessary approvals from Singaporean regulators. Once the DRHP is filed, the standard timeline for book-building and market debut usually takes an additional three to four months. Potential investors will wait for the DRHP to provide details on revenue, debt levels, and the actual use of proceeds, which will determine how the market values the company at the time of the launch.
