Shareholders have approved Transrail Lighting's plan to raise ₹600 crore via a QIP to support expansion and diversification. The EPC firm is targeting 20-22% revenue growth in FY27, backed by a strong ₹16,035 crore order book and new investments in data centers and battery storage.
Transrail Lighting has received shareholder approval to raise up to ₹600 crore through a Qualified Institutions Placement (QIP), a move aimed at accelerating its infrastructure expansion for the current fiscal year. The resolution, passed via postal ballot on September 10, 2026, provides the company with the capital flexibility to pursue its aggressive growth targets and diversify into high-potential sectors.
The Mumbai-based engineering, procurement, and construction (EPC) firm, primarily known for its power transmission and distribution business, is looking beyond its traditional roots. Management has outlined a strategy to enter the data center infrastructure and battery energy storage systems (BESS) markets. By leveraging its existing expertise in substation construction and transmission networks, the company aims to reduce its reliance on legacy segments and capture emerging demand in green energy and digital infrastructure.
Financial performance remains a key focus for investors, with the company reporting operating revenue of ₹1,736 crore and a profit after tax of ₹108 crore in the first quarter of FY27. To meet its annual revenue growth target of 20-22%, the firm is scaling its manufacturing operations. As of September 2026, its conductor manufacturing capacity has reached 40,800 kilometers per year, with plans to expand this to 49,500 kilometers by the end of the fiscal year.
The company’s order book, valued at ₹16,035 crore as of June-end, provides a measure of revenue visibility. This is supplemented by recent contract wins, including ₹412 crore in domestic transmission and distribution orders secured in October 2026 and an additional ₹574 crore won in late September. Alongside these projects, the board has approved a ₹3 per share interim dividend and an investment of approximately ₹40.25 crore in its UAE-based subsidiary, Transrail Trading LLC, to support international operations.
While the expansion plans are significant, investors should be aware of potential risks. The highly competitive nature of the power transmission and distribution sector can create pressure on profit margins. Additionally, the company faces exposure to interest rate fluctuations, with higher borrowing costs identified as a potential headwind for profitability. The success of the QIP will also depend on market conditions at the time of issuance, which could impact final pricing.
Moving forward, the primary monitorables for stakeholders will be the timeline for the QIP launch, the actual execution speed of the new order backlog, and the company’s ability to maintain margins while scaling its new business verticals.
