POWERGRID Acquires Maharashtra SPV to Boost Transmission Network
Power Grid Corporation of India Limited (POWERGRID) has acquired 100% of NES Pune East New Transmission Limited (NPENTL) for approximately ₹8.05 crore, aimed at expanding transmission infrastructure in Maharashtra.
Acquisition Details
The deal, finalized on March 12, 2026, encompasses equity shares, assets, and liabilities, subject to final adjustments based on audited accounts. NPENTL, incorporated on March 29, 2025, is a Special Purpose Vehicle (SPV) specifically created for transmission network expansion within Maharashtra but has not yet commenced commercial operations.
Strategic Rationale
This acquisition aligns with POWERGRID's strategy of acquiring SPVs for efficient project execution and to bolster its presence in key growth regions. For Maharashtra, a state experiencing rising power demand and significant industrial activity, this move signifies POWERGRID's commitment to enhancing grid stability and enabling efficient power evacuation.
The expansion is crucial for supporting the state's economic growth and its renewable energy targets. It also represents a strategic step for POWERGRID in diversifying its project pipeline and strengthening its market position, particularly in intra-state transmission.
Past Expansion Efforts
POWERGRID has a proven track record of using SPV acquisitions to streamline development. In March 2025, the company acquired three SPVs for ₹43.73 crore to enhance power infrastructure across Gujarat, Andhra Pradesh, and Madhya Pradesh. More recently, in October 2025, POWERGRID purchased Vindhyachal Varanasi Transmission Ltd for about ₹19.84 crore to strengthen inter-state transmission capacity. The company has also been actively winning projects in Maharashtra through competitive bidding, such as the 'Network Expansion scheme in Pune Region-I' awarded in February 2026. These projects often follow a Build, Own, Operate, and Transfer (BOOT) model, providing long-term revenue visibility.
Operational Shift and Next Steps
Following the acquisition, POWERGRID will assume operational control of NPENTL, managing the development of the planned transmission infrastructure in Maharashtra. The immediate focus will be on securing the necessary regulatory approvals to begin project development and operations, leveraging POWERGRID's expertise in high-voltage transmission systems.
Regulatory Hurdles
A key challenge for NPENTL involves obtaining crucial approvals from the Maharashtra Electricity Regulatory Commission (MERC). These include the Grant of Transmission License and the Adoption of Transmission Charges, which are essential prerequisites for commencing commercial operations. Delays in these regulatory clearances could postpone the project's timeline.
Market Context
POWERGRID operates within a competitive transmission sector. Adani Energy Solutions (AESL) is a major private player with a vast network, while KEC International is a significant EPC contractor involved in building transmission infrastructure. As a Maharatna PSU, POWERGRID maintains a dominant position in interstate transmission and is actively expanding its intra-state footprint through strategic moves like this acquisition.
Future Focus
Investors will be closely monitoring NPENTL's progress in securing its transmission license and tariff approvals from MERC. Tracking the commencement of construction and commissioning of the infrastructure will be key, alongside POWERGRID's broader expansion strategy in Maharashtra and the wider transmission sector.
