Gravita India Limited has announced a pivotal strategic expansion with the signing of a binding term sheet to acquire up to 100% of the equity share capital of Rashtriya Metal Industries Limited (RMIL). The total consideration for this acquisition is set at a maximum of INR 565 crores, with completion anticipated by March 31, 2026, contingent upon successful due diligence and other conditions.
RMIL, a well-established entity in the non-ferrous metals sector since 1946, specializes in the manufacture of copper and copper alloy products. The company boasts a global export footprint, reaching markets such as the UAE, USA, and Kenya. Financially, as of March 31, 2025, RMIL reported a healthy net worth of INR 300 crores and total assets valued at INR 558 crores. Its turnover has demonstrated consistent upward momentum, growing from INR 598 crores in FY22-23 to INR 688 crores in FY23-24, and reaching INR 910 crores in FY24-25.
This cash consideration transaction is confirmed not to be a related party deal. The acquisition will position RMIL as a subsidiary of Gravita India, significantly bolstering the latter's presence and capacity in the copper and copper alloy segment.
In a move that complements its existing battery recycling operations and taps into the burgeoning circular economy, Gravita India is also entering the copper recycling business. This diversification is expected to create synergies and capitalize on sustainability-driven market opportunities.
